What the Business Hub Agreement Is and when it applies

The Business Hub Agreement is a standardized commercial contract used to define a central relationship between a service provider and multiple business units, partners, or vendors that access shared resources or services. It sets scope, permitted activities, access controls, fees, data handling rules, and reporting obligations in a single master document. Organizations use this agreement to reduce repetitive contracting, clarify liability, and centralize governance for bundled services or platform access across departments while preserving the ability to attach project-specific exhibits or statements of work.

Why adopting a Business Hub Agreement adds clarity

A Business Hub Agreement consolidates recurring terms into one centrally managed contract, lowering negotiation friction and ensuring consistent operational, data protection, and billing rules across multiple engagements.

Why adopting a Business Hub Agreement adds clarity

Typical users and groups who complete this agreement

The Business Hub Agreement is completed by legal, procurement, vendor management, and program teams when centralizing service access across units.

  • Procurement teams managing vendor catalogs and pricing across departments
  • IT and security teams enforcing data access, logging, and retention policies
  • Business unit managers onboarding shared services or partners

Use this agreement when multiple internal or external parties require consistent access rules, billing, and data controls without separate negotiated contracts for each interaction.

Who signs and the roles typically involved

Authorized Signer

A senior representative with delegated authority (CFO, VP Procurement, or General Counsel) who can bind the company. Verify corporate signing limits and attach a board resolution if required to confirm authority when contract value or term exceeds delegated thresholds.

Program Owner

An operational lead (IT Director, Product Manager) responsible for implementing the agreement terms and coordinating exhibits or onboarding checklists. This person manages SLAs, reporting, and change requests during the agreement lifecycle.

Core components to include in a professional Business Hub Agreement

A complete Business Hub Agreement balances high-level governance with practical exhibits: it governs access, security, financial terms, liability, and amendment procedures while letting parties attach project-specific statements of work or access manifests.

Scope

Define permitted services, user classes, and the exact boundary of platform or resource access; attach a services matrix listing included and excluded items.

Access Controls

Specify authentication methods, role-based permissions, audit logging, and conditions for credential revocation; reference required security standards and periodic review cadence.

Fees and Billing

Describe pricing model (subscription, per-user, transaction), invoicing frequency, billing contacts, and late payment terms including interest or suspension rights.

Data Handling

State data classification, permitted processing, retention requirements, breach notification timelines, and responsibilities under HIPAA or other sector rules when applicable.

Liability and Indemnity

Allocate risk through caps on liability, carve-outs for gross negligence, and mutual indemnities for third-party claims tied to breach or IP infringement.

Term and Termination

Set the initial term, renewal mechanics, termination for convenience or material breach, transition assistance, and post-termination data return or destruction obligations.
