BUSINESS IA DOCUMENT

RECITALS

WHEREAS, Company desires to engage Provider to perform certain services and deliverables for Company's business operations as set forth herein; and

WHEREAS, Provider represents that it has the experience, personnel, and resources necessary to perform the services described in this Agreement in a professional and timely manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Provider will perform such services and Company will compensate Provider.

SCOPE OF WORK

Provider shall perform the services and produce the deliverables described in the statement of work below. Provider shall perform all services in a professional, workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Company shall pay Provider the fees described below in consideration for the services and deliverables. All amounts are stated in U.S. dollars unless otherwise indicated.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party given not less than days prior to the effective date of termination. Either party may terminate for material breach if such breach is not cured within 30 days after written notice specifying the breach.

Upon termination, Provider shall deliver to Company all completed work and work in progress and Company shall pay Provider for all services performed and expenses incurred through the effective date of termination in accordance with the Payment Terms.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information excludes information that: (a) is or becomes publicly known through no breach by the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order.

The receiving party shall: (i) maintain the confidentiality of the disclosing party's Confidential Information using at least the same degree of care it uses to protect its own confidential information; (ii) not use Confidential Information for any purpose other than performance of this Agreement; and (iii) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties agree that any dispute arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located within such state, and each party hereby consents to personal jurisdiction and venue therein.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement. Provider represents and warrants that the services will be performed in a professional manner in accordance with applicable industry standards. Each party shall indemnify and hold harmless the other party from any third-party claims arising from the indemnifying party's breach of this Agreement or gross negligence.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Independent Contractor: Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee, partnership, joint venture or agency relationship between the parties.

Limitation of Liability: Except for liability arising from a party's willful misconduct or gross negligence, in no event shall either party be liable for consequential, incidental, special or punitive damages, and the aggregate liability of either party shall not exceed the total fees paid by Company to Provider under this Agreement in the twelve (12) months preceding the claim.

ENTIRE AGREEMENT

This Agreement, including all exhibits and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
