This Independent Contractor Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client operates a business and requires certain professional services and deliverables in connection with Client's business operations; and

WHEREAS, Contractor represents that Contractor has the expertise, personnel and resources necessary to provide such services on an independent contractor basis; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will provide services to Client.

SCOPE OF WORK

Contractor shall perform the services and deliverables described below. Contractor shall perform all services in a professional manner consistent with industry standards and in accordance with any schedule set forth herein.

PAYMENT TERMS

Client shall pay Contractor for services rendered as provided in this section. Contractor shall submit invoices in the form reasonably required by Client and each invoice shall set forth sufficient detail to identify the services performed.

Unless otherwise agreed in writing, Client shall not withhold payroll, social security, tax or other deductions for Contractor. Contractor is solely responsible for all taxes and withholdings. Expense reimbursements, if any, must be pre-approved in writing and will be reimbursed upon submission of receipts.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period above after receipt of written notice. Termination for cause is effective immediately where required to prevent imminent harm. Upon termination, Contractor shall deliver all work-in-progress and Client shall pay for all work performed and approved prior to termination.

CONFIDENTIALITY

Contractor acknowledges that in the performance of services Contractor will have access to confidential and proprietary information of Client (Confidential Information). Contractor shall not disclose, use, copy or permit others to use Confidential Information except as required to perform services under this Agreement. Confidential Information does not include information which (a) is or becomes public without breach by Contractor, (b) was known to Contractor prior to disclosure as shown by written records, or (c) is rightfully obtained from a third party without restriction.

Upon termination or at Client's request, Contractor shall promptly return or certify destruction of all Confidential Information and all copies. Contractor agrees that a breach of this Section would cause irreparable harm for which monetary damages may be inadequate and that Client may seek injunctive relief in addition to other remedies.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, all work product, inventions, designs, know-how and materials developed by Contractor specifically for Client under this Agreement (Work Product) shall be deemed a work made for hire and Client shall own all right, title and interest in such Work Product. Contractor hereby assigns to Client all rights, including copyrights and moral rights, in Work Product. Contractor retains the right to use general skills, ideas, and experience learned while performing services, provided no Confidential Information or Client-owned Work Product is used or disclosed.

INDEPENDENT CONTRACTOR; INSURANCE

Contractor is an independent contractor and not an employee, agent or partner of Client. Contractor has sole responsibility for the manner and means of performing the services. Contractor shall maintain at its expense all insurance required by law and any additional insurance reasonably requested by Client.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Contractor shall indemnify and hold Client harmless from and against third-party claims arising out of Contractor's negligent acts or willful misconduct in the performance of services. In no event shall either party be liable to the other for incidental, consequential or punitive damages, and each party's aggregate liability for claims arising out of this Agreement shall not exceed the total fees paid to Contractor under this Agreement during the six (6) month period preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

ASSIGNMENT; SEVERABILITY; ENTIRE AGREEMENT

Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to a successor by merger or sale of substantially all assets. If any provision is held invalid, the remaining provisions shall remain in full force. This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.

NOTICES

All notices shall be in writing and delivered to the addresses set forth above (or to such other address as either party may designate by notice). Notices shall be effective upon personal delivery, three days after deposit with the United States mail by certified mail, or one day after delivery to a nationally recognized overnight courier.

MISCELLANEOUS

The waiver by either party of any breach shall not be deemed a waiver of any subsequent breach. The parties shall cooperate and execute additional documents as reasonably necessary to effectuate the intent of this Agreement.
