SCOPE OF WORK

Service Provider shall collect, verify, maintain, and, upon request, deliver to Client the official business identifiers and supporting documentation identified in this Agreement. The work shall include reasonable due diligence to confirm entity status and contact accuracy, and updates to this record as requested during the Term.

PAYMENT TERMS

As consideration for the services described in Scope of Work, Client agrees to pay Service Provider in accordance with the following terms.

Invoices are due in accordance with the Payment Schedule. Overdue amounts shall accrue interest at the rate specified in Late Fee above, calculated monthly on the outstanding balance. Client shall also reimburse Service Provider for reasonable costs of collection, including attorneys' fees, for delinquent accounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party where such breach remains uncured for a period of 30 days following written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public business, financial, technical, and other information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential under the circumstances. Each party shall (a) keep Confidential Information in strict confidence, (b) not disclose it to any third party except as required to perform its obligations under this Agreement or as required by law, and (c) use the same degree of care to protect Confidential Information as it uses for its own confidential information, but in no event less than reasonable care.

The obligations in this section shall survive termination of this Agreement for a period of five (5) years, except that trade secrets will be protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of State: , without regard to conflict of laws principles. Venue for any dispute arising out of or relating to this Agreement shall lie exclusively in the courts of that jurisdiction.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be made in a written instrument signed by duly authorized representatives of both parties.

REPRESENTATIONS; CERTIFICATION

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. The signatory for each party certifies that the information provided in the Business Identifier Data section is true, accurate and complete to the best of their knowledge as of the Effective Date.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the primary contact information set forth above or to such other address as a party may designate by notice in accordance with this section. Notices are effective upon receipt.
