In addition to any late fee stated above, the non-defaulting party may suspend performance and recover collection costs, including reasonable attorneys' fees, for overdue amounts.

Term and Termination

This Business Increase Document becomes effective as of and, unless earlier terminated in accordance with this section, will continue until .

Either party may terminate this Document for convenience upon days' prior written notice to the other party. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice specifying the breach. Termination does not relieve either party of obligations accrued prior to termination, including payment for work performed.

Confidentiality

Each party shall treat as confidential all non-public information received from the other party that is designated confidential or that reasonably should be understood to be confidential given its nature (Confidential Information). Confidential Information shall not include information that: (a) is or becomes publicly available other than through breach of this Document; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information.

Each party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care, and shall only use Confidential Information to perform obligations under this Document. Upon termination, the recipient shall return or destroy Confidential Information as requested in writing by the disclosing party.

Representations and Warranties

Each party represents and warrants that it has the corporate or contractual authority to enter into this Document and that the execution and performance hereof do not conflict with any law, obligation, or agreement binding on it. The First Party warrants that services will be performed in a professional manner consistent with industry standards.

Governing Law

This Document shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

Entire Agreement; Amendment

This Document, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications. Any amendment or modification to this Document must be in writing and signed by authorized representatives of both parties.

Severability; Remedies

If any provision of this Document is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The remedies provided in this Document are cumulative and in addition to any other remedies available at law or in equity.
