BUSINESS INCREASE FORM LETTER

This Business Increase Form Letter (the "Agreement") is entered into as of Effective Date: by and between Business Name: , with principal place of business at (hereafter "Business"), and Counterparty Name: , with principal place of business at (hereafter "Counterparty").

WHEREAS

WHEREAS, Business and Counterparty are parties to an existing agreement governing the provision of goods and/or services (the "Underlying Agreement"); and

WHEREAS, the parties desire to increase the scope and/or quantity of services, deliverables, or products described in the Underlying Agreement in accordance with the terms set forth in this Business Increase Form Letter; and

WHEREAS, the parties intend for this Agreement to modify certain terms of the Underlying Agreement solely to the extent expressly provided herein.

PAYMENT TERMS

The Counterparty shall pay Business the fees for the increased scope as set forth below. All payments are due in accordance with this section and are subject to the parties' rights under the Underlying Agreement.

TERM AND TERMINATION

This increase shall commence on the Start Date set forth below and shall continue until the End Date or until the increased obligations are satisfied, whichever occurs first, unless earlier terminated in accordance with the Underlying Agreement or this section.

CONFIDENTIALITY

Each party shall continue to treat as confidential all Confidential Information of the other party disclosed in connection with the Underlying Agreement and this Agreement. Confidential Information shall include all non-public business, technical, financial and operational information disclosed in writing, orally or by inspection. The receiving party shall not disclose Confidential Information to any third party except as permitted by the Underlying Agreement, and shall use at least the same degree of care to protect such Confidential Information as it uses to protect its own confidential information, but no less than a reasonable degree of care.

Notwithstanding the foregoing, a receiving party may disclose Confidential Information as required by law, court order, or regulatory requirement, provided that the receiving party provides prompt written notice to the disclosing party to permit the disclosing party to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of law principles.

ENTIRE AGREEMENT

Except as expressly modified by this Agreement, all terms and conditions of the Underlying Agreement shall remain in full force and effect. This Agreement, together with the Underlying Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral, relating to such subject matter.

MISCELLANEOUS PROVISIONS

Any notices required or permitted hereunder shall be given in accordance with the notice provisions of the Underlying Agreement. No amendment to this Agreement shall be effective unless executed in writing by duly authorized representatives of both parties.
