This Business IND Document (the "Agreement") is entered into as of between:

WHEREAS

WHEREAS, Party A is engaged in the business of providing business services and seeks specialized services and deliverables from Party B; and

WHEREAS, Party B represents that it has the necessary expertise, personnel, and resources to perform the services described in this Agreement and is willing to perform such services on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Party B shall provide the services, deliverables, and milestones as described below. Party B shall perform the services in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

In consideration for the performance of services by Party B, Party A shall pay Party B as set forth below.

All payments are due in U.S. dollars. Unless otherwise agreed in writing, payments not received within the time specified shall accrue the late fee set forth above, plus any collection costs, including reasonable attorneys' fees.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within the notice period specified above. Either party may terminate without cause upon providing the notice period in writing. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is identified as confidential or that, given the nature of the information, reasonably should be understood to be confidential. Confidential Information includes business plans, financial data, customer lists, technical information, trade secrets, and other proprietary information.

The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The Receiving Party shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential Information does not include information that: (i) is or becomes publicly available without breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without reference to the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in any lawful effort to limit disclosure. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that obligations with respect to trade secrets shall survive for as long as such information remains a trade secret under applicable law.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's negligent acts, willful misconduct, or material breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising under this Agreement shall be in the appropriate state or federal courts located within that state.

Entire Agreement

This Agreement, including any exhibits or statements of work incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that a party may assign to a successor in interest in connection with a merger or sale of substantially all of its assets.
