What a Business Independence Letter Is

A Business Independence Letter is a formal written statement used by a company to document that it operates independently from another entity for legal, tax, or contractual purposes. The letter describes ownership, governance, and operational separations, and clarifies whether financial ties, shared services, or control influences exist. It is commonly requested during audits, loan closings, mergers, vendor onboarding, and due diligence to demonstrate that two businesses are distinct and not under common control.

Why a Clear Independence Statement Matters

A Business Independence Letter provides recipients with a concise, verifiable assertion of separation that reduces ambiguity in legal, financial, and tax contexts and supports third-party reliance when properly documented and retained.

Why a Clear Independence Statement Matters

Who Typically Prepares and Receives This Letter

Typical users include corporate officers, accountants, external auditors, lenders, and legal counsel who require written confirmation of entity independence.

  • Corporate officers confirm governance separation for contracts and lender reviews.
  • Accountants and auditors use the letter for related-party and financial statement disclosures.
  • Lenders and investors require explicit independence statements during underwriting and closing.

Maintain copies in corporate records and provide notarized or certified versions upon request to satisfy audit, lender, or regulator requirements.

Core Elements Every Letter Should Include

Signer Block

Governing Law

A clause stating the governing state law for interpretation and dispute resolution; selecting the jurisdiction can affect enforceability and procedural requirements for challenges and appeals.

Common Preparation Mistakes to Avoid

  • Vague language about scope or duration, such as 'independent for all purposes', invites interpretation disputes and undermines the letter's evidentiary value.
  • Attaching outdated supporting documents or failing to include dates reduces effectiveness; always attach current corporate filings and recent board minutes.
  • Omitting signer authority evidence or not stating the signer's capacity forces recipients to request additional proof, slowing transactions and increasing costs.
