Whereas

WHEREAS, the Service Provider maintains expertise and systems to define, measure, analyze and report business indicators and performance metrics that assist the Client in operational and strategic decision-making; and

WHEREAS, the Client desires to engage the Service Provider to deliver a set of defined business indicators, together with reporting, validation and recommendations, and the Service Provider agrees to provide such services under the terms set forth herein.

Scope of Work

The Service Provider will develop, collect, validate and report the business indicators described below and will provide periodic analysis and recommendations. Deliverables will include dashboards, standardized reports and a summary commentary for each reporting period.

Business Indicators and Reporting

The Service Provider will produce the following indicators. For each indicator the parties will agree: definition, data source, calculation method, target threshold and reporting frequency.

Payment Terms

Compensation for services described in this Agreement shall be paid by the Client to the Service Provider in accordance with the terms below.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve the Client of its obligation to pay for services performed through the effective date of termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" includes business plans, data, financial information, technical materials and indicators that are not publicly available. Each receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, (b) not disclose Confidential Information to any third party except to those employees, contractors or agents with a need to know for performance of this Agreement and who are bound to comparable confidentiality obligations, and (c) use Confidential Information only for the purposes of performing obligations under this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

Governing Law; Compliance

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Each party represents that it will comply with all applicable laws and regulations in the performance of its obligations.

Limitation of Liability and Reliance

The Service Provider shall exercise commercially reasonable care in producing the indicators and analysis. Except for willful misconduct or gross negligence, the Service Provider's aggregate liability under this Agreement shall be limited to the fees paid by the Client to the Service Provider in the twelve (12) months preceding the claim. The Client acknowledges that indicators are based on available data and methodologies agreed between the parties and are not guarantees of future performance.

Entire Agreement

This Agreement, including any attachments or statements of work executed under it, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and communications, whether written or oral. Any amendments must be in writing and executed by authorized representatives of both parties.
