What the Business Individual Agreement Is and When it’s Used

A Business Individual Agreement is a written contract between a business entity and a single natural person that defines rights, obligations, payment terms, deliverables, confidentiality, and governance. Typical uses include independent contractor engagements, consultant statements of work, contractor onboarding, and one-off services where the business wants to document scope, compensation, intellectual property allocation, and termination terms. The document establishes enforceable promises when properly executed, identifies the governing law, and provides a record for compliance, tax reporting, and dispute resolution.

Why a Clear Agreement Matters for Risk and Performance

A well-drafted Business Individual Agreement reduces ambiguity about deliverables, payment, and IP ownership, supports compliance with employment and tax rules, and creates evidence for dispute resolution. It clarifies who is responsible for insurance, confidentiality, and data handling, and it helps ensure accurate tax reporting and record retention under applicable federal rules.

Why a Clear Agreement Matters for Risk and Performance

Who Commonly Prepares or Signs This Agreement

This agreement is used by businesses and single-person contractors across functions; the profiles below indicate the most common roles involved.

  • Small business owners and hiring managers who need a simple contract for consultants and contractors, focusing on scope, payment, and termination.
  • Independent contractors, freelancers, and consultants who require a written record of engagement terms, deliverable schedule, and IP assignment.
  • In-house legal or HR teams that standardize terms to control risk, ensure tax compliance, and support onboarding.

Use the appropriate signatory and approval pathways described below to ensure the agreement is binding and retained according to regulatory requirements.

Typical Signatories and Their Roles

Business Signatory — Authorized Officer

An authorized company officer, manager, or procurement lead signs on behalf of the business. They confirm corporate authority, accept contract terms, and should be listed with job title and signing authority to avoid disputes about enforceability.

Individual Signatory — Contractor

The individual contractor signs using their full legal name as shown on ID. For independent contractors, the signature confirms acceptance of scope, payment, tax classification, IP assignment, and confidentiality provisions.

Essential Sections to Include in a Professional Agreement

Include a consistent structure so parties can quickly locate obligations and limits. The six items below represent the core sections that reduce legal ambiguity and support enforceability.

Parties & Definitions

Identify the business legal entity and the individual by full legal name, define key terms such as "Services," "Deliverables," and "Effective Date" to avoid interpretation disputes.

Scope of Work

Describe services, milestones, deliverables, acceptance criteria, and delivery schedule. Attach exhibits or statements of work for detailed tasks or rates.

Compensation

Specify fees, payment schedule, invoicing procedures, expense reimbursement, and any withholding or tax responsibilities.

Intellectual Property

State whether IP is assigned to the business, licensed, or retained by the individual, and include necessary assignment or license language.

Confidentiality & Data Handling

Set obligations for confidential information, data security, permitted disclosures, and any HIPAA or privacy addenda when applicable.

Termination & Remedies

Define termination rights, notice periods, accrued obligations, return of materials, liquidated damages if any, and dispute resolution mechanism.

  • Assign Signers: Add signer email addresses and set required authentication.
  • Sign and Execute: Signers review and apply signatures; platform captures audit trail.
  • Archive and Distribute: Save the final PDF and distribute copies to payroll, accounting, and legal teams.

Digital Signing and eSubmission Considerations

Choose platform settings that balance signer convenience and identity assurance.
