What a Business Info Update Is and When it’s Used

A Business Info Update is a standardized record used to notify counterparties, regulators, or service providers of changes to a company’s identifying or contact information. Typical updates include legal name changes, mailing or principal place of business address changes, changes to officers or authorized signers, registered agent updates, and tax identification corrections. Organizations use this form to keep vendor records, banking details, licensing, and government filings accurate. Accurate updates reduce payment delays, compliance risk, and administrative friction across payroll, tax reporting, licensing, and contracting workflows.

Why Keeping Business Information Current Matters

Maintaining accurate business information prevents misdirected notices, avoids backup withholding triggers, and supports correct tax reporting. Under ESIGN (15 U.S.C. ch. 96) and UETA (where adopted), electronically submitted updates can be legally effective when signed and retained correctly.

Why Keeping Business Information Current Matters

Who Typically Completes a Business Info Update

Business Info Updates are completed by people who can confirm and authorize changes on behalf of an organization.

  • Company owners and CEOs who authorize high-level changes and filings.
  • Chief financial officers or controllers who manage tax and banking records.
  • Registered agents or corporate secretaries who handle state filings and official service.

Use internal policy to confirm signer authority before submission to external recipients.

Typical Signers and Their Roles

Authorized Officer

A named officer (CEO, CFO, President) who can bind the company. The Authorized Officer should be listed in internal corporate records and must confirm identity; their signature validates the update for banks, vendors, and government recipients.

Registered Agent

An individual or commercial registered agent designated to receive official service and filings. For changes to registry information, the registered agent often submits or acknowledges updates with the state Secretary of State.

Key Data Elements to Include

Legal Business Name: Exact registered name
EIN / Tax ID: Federal EIN
Principal Address: Street, city, state, ZIP
Mailing Address: If different from principal
Primary Contact: Name, phone, email
Authorized Signer: Name, title, signature

Stepwise Process to Complete and Submit an Update

Follow these sequential steps to prepare, validate, and distribute a Business Info Update consistently across stakeholders.

  • 01
Gather Documents: Collect formation documents, EIN confirmation, and ID for signer.
  • 02
Complete Fields: Enter required data using MM/DD/YYYY and two-letter state abbreviations.
  • 03
Verify Internal Approval: Obtain signature from an authorized officer per corporate policy.
  • 04
Submit and Confirm: Send to recipients and retain evidence of delivery and receipt.

Where to Send or File the Completed Update

Different recipients use the update for distinct purposes; route copies to all parties who rely on your records.

  • Secretary of State: For registration or registered agent changes.
  • IRS / Tax Agencies: For EIN or address corrections where applicable.
  • Banks and Vendors: To update payment and remittance details.
  • Internal Records: Accounting, payroll, and compliance teams.

Typical Timing Expectations and Internal Deadlines

Processing timeframes differ by recipient; set internal deadlines to ensure stakeholders receive updated records before key events like payroll or tax filings.

Provide to banks and vendors as soon as change is authorized

Payroll Records:

Update payroll within one pay cycle where possible

State Filings:

Follow Secretary of State timelines per jurisdiction

IRS Notifications:

Provide W-9 when requested; IRS address updates per guidance

Licenses and Permits:

Amend prior to next renewal deadline

Key Penalties and Risks of Incorrect or Late Updates

Backup Withholding: 24% withholding risk
Information Return Penalties: IRC §6721 fines
Payment Delays: Invoices returned or withheld
License Noncompliance: Fines or suspension
Service Interruptions: Vendor or bank holds
Legal Exposure: Invalidated authorizations

Common Preparation Errors to Avoid

  • Using trade names instead of the registered legal name creates verification failures.
  • Entering an incorrect EIN or TIN can trigger backup withholding and information return penalties.
  • Submitting unsigned or improperly authorized updates causes rejections and processing delays.
  • Failing to distribute updates to all stakeholders causes mismatches across payroll, vendors, and regulatory records.
