What the Business Information Memorandum Is and When It’s Used

A Business Information Memorandum (BIM) is a concise, standardized document that summarizes a company’s operations, financials, ownership, assets, and strategic rationale for a transaction. Commonly used in mergers and acquisitions, capital raises, and brokered sell-side processes, the BIM allows buyers, investors, and advisors to screen opportunities and plan due diligence. It typically complements detailed data-room materials by presenting headline metrics, key risks, and the sale or investment rationale in a single, portable file designed for distribution to prequalified parties under confidentiality terms.

Why a Clear Business Information Memorandum Matters

A well-prepared BIM accelerates deal screening, reduces repetitive requests, and sets expectations for valuation and diligence. It helps sellers control narrative, ensures consistent information delivery to multiple parties, and reduces time spent on initial Q&A.

Why a Clear Business Information Memorandum Matters

Primary Users and Recipients of a Business Information Memorandum

The BIM is used by multiple stakeholders during transaction processes and related review cycles.

  • Company owners and management teams preparing to solicit offers and present a clean, consistent company summary to buyers.
  • Investment bankers, brokers, and M&A advisors distributing a standardized information packet to qualified buyers and investors.
  • Potential buyers, private equity firms, and strategic acquirers screening opportunities prior to requesting data-room access.

Authors should tailor the BIM for the intended audience, balancing transparency with confidentiality protections under an NDA.

Core Sections a Professional Business Information Memorandum Should Include

A professional BIM organizes information so a reader can quickly assess fit and risk. The following core sections are standard and should be clearly labeled for fast navigation.

Executive Summary

High-level company description, transaction objective, and headline financial metrics that frame the opportunity for potential buyers or investors.

Market Overview

Market size, growth drivers, competitive landscape, customer segments, and the company’s positioning and differentiators in a concise format.

Financial Summary

Historical revenue, EBITDA, margin trends, recent KPIs, and a short forecast or normalized financial view with key adjustments described.

Operations & Assets

Operational footprint, key contracts, intellectual property, major assets, and any concentration risks that materially affect value or transferability.

Management & Ownership

Organizational chart, biographies of key leadership, ownership structure, and any management retention or rollover expectations.

Risks & Contractual Items

Principal legal, regulatory, tax, and commercial risks plus notable contracts, pending litigation, permits, or contingent liabilities.

Step-by-Step: Preparing and Distributing Your BIM

Follow this sequence to create a BIM that is readable, accurate, and ready for controlled distribution.

  • 01
Gather Documents: Collect legal, financial, and operational records for accuracy checks.
  • 02
Draft Sections: Write concise summaries and compile headline tables for each core section.
  • 03
Review & Approve: Have leadership and legal counsel verify facts and disclosures.
  • 04
Distribute Securely: Provide BIM under NDA and track recipients using a secure sharing method.

Where to Send the BIM and Typical Routing Steps

Routing depends on the transaction stage; use secure channels and a clear recipient list to preserve confidentiality and auditability.

  • Initial Distribution: Send BIM to prequalified buyers after NDA execution.
  • Data-Room Invite: Grant data-room access to parties requesting deeper diligence.
  • Follow-Up Q&A: Field buyerQuestions and log replies for audit and consistency.
  • Offer Submission: Collect indicative offers and maintain version control of BIM updates.

Customizing an Online BIM Workflow for Review and Signoff

Configure a simple online workflow to manage distribution, acknowledgement, and version control during the sale process.

Field Configuration
Access Controls Role-based viewer, downloader, and annotator permissions
Authentication Email link, SMS code, or stronger KBA as needed
Audit Logging Capture IP, timestamp, and actions for each recipient
Versioning Publish controlled revisions and retain prior copies

Digital Delivery and eSubmission Considerations

Choose tools that support secure sharing, traceable access, and, when required, legally admissible signatures.

  • Integrations: Salesforce, NetSuite, Google Workspace available
  • Supported Formats: PDF and DOCX with preserved layout
  • Authentication: Email, SMS, or two-factor options

Ensure the chosen platform meets industry compliance needs such as HIPAA or 21 CFR Part 11 before sharing sensitive materials.

Essential Information to Include in the BIM

Legal Entity: Registered company name
EIN: Employer Identification Number
Financials: Revenue and EBITDA snapshots
Ownership: Equity holders and percentages
Key Contracts: Top agreements summary
Material Risks: Principal contingent liabilities

Common Timing Considerations and Typical Deadlines

Transactions and diligence follow customary timelines; prepare to respond quickly to requests and set clear deadlines in the process plan.

Initial Response Time:

Provide BIM within the agreed evaluation window, often 3–7 business days

Diligence Window:

Standard buyer diligence ranges from 30 to 90 days

Offer Deadline:

Set a closing date for indicative offers to maintain momentum

Contract Negotiation:

Allow 2–6 weeks depending on complexity

W-9 / Tax Info:

Supply W-9 or equivalent upon request for closing documentation

Common Preparation Mistakes to Avoid

  • Overloading the BIM with raw data rather than concise headlines, which increases reader fatigue and slows screening.
  • Inconsistent numbers between BIM and underlying financials, causing buyers to distrust other disclosures and prolong diligence.
  • Missing change-of-control clauses or unassignable contracts, which can materially reduce valuation or require renegotiation.
  • Undocumented adjustments to EBITDA or revenue that lack clear reconciliation, prompting repeated follow-up and auditor requests.

Risks and Consequences of Inaccurate or Incomplete BIM Content

Deal Delay: Prolonged due diligence and lost bidders
Price Reduction: Lower offers or tougher terms
Legal Exposure: Potential misrepresentation claims
Tax Risk: Incorrect filings may trigger IRC §6721 penalties
Confidentiality Breach: Unauthorized disclosures risk injunctions
Compliance Gaps: Failure to include HIPAA items when applicable

Practical Tips for Accurate and Efficient BIM Completion

Small process changes yield meaningful reductions in review cycles and follow-up requests.

Standardize Numbers
Reconcile headline figures to underlying schedules and footnote adjustments to prevent buyer confusion and repeated data requests during due diligence.
Use Clear Exhibits
Attach short exhibits for complex items such as cap tables, contracts, and KPIs rather than embedding dense tables in the main narrative.
Preserve Version Control
Maintain a single published BIM version and log changes; communicate revisions explicitly to all recipients to avoid offer disputes.
Protect Confidentiality
Require executed NDAs before distributing full BIMs and limit data-room access to vetted parties to reduce leakage risk.

Real-World Examples of BIM Use in Transactions

These brief examples show how different organizations use BIMs to speed transactions and preserve compliance.

Optica Ventures (COO)

Their team prepared a compact BIM to screen buyers efficiently, reducing preliminary Q&A.

  • The BIM highlighted five-year revenue trends.
  • After distribution under NDA, buyers proceeded to data-room access more quickly, shortening the early-stage sale timeline and improving initial offer quality.

Martin Properties (Founder)

A property management firm used a BIM to summarize portfolio metrics for strategic investors, emphasizing occupancy and NOI.

  • Key metrics were standardized across properties.
  • The clear presentation reduced follow-up requests and allowed investors to compare assets side-by-side, accelerating term sheet negotiations.
