What a Business Information Notice Is and when it’s used

A Business Information Notice is a concise form businesses use to provide or update essential corporate details — such as the legal entity name, employer identification number (EIN), principal business address, primary contact, and authorized signatories — to clients, vendors, banks, or regulatory bodies. It clarifies who may sign agreements, receive notices, or be paid on behalf of the company, and it supports due diligence, vendor onboarding, and compliance checks. Electronically executed notices are generally enforceable under the ESIGN Act (15 U.S.C. §7001) and UETA, subject to statutory exceptions and record-retention requirements.

Why completing a clear Business Information Notice matters

Completing a Business Information Notice reduces payment delays, prevents misdirected communications, and creates an auditable record for tax and regulatory purposes. A precise notice minimizes downstream disputes about authority and identity while supporting verification steps required by financial institutions and contracting parties.

Why completing a clear Business Information Notice matters

Who typically prepares and receives this notice

Uses span operational, financial, and legal functions across organizations and counterparties.

  • Accounts payable and vendor management teams that need verified payee data to issue payments or enroll vendors.
  • Banking and treasury staff who require EIN and authorized signatory information to open accounts or process transfers.
  • Compliance, legal, and procurement professionals who maintain vendor records and confirm delegation of authority.

The notice is most useful whenever a party needs an official, auditable statement of a business’s identifying and signing details.

Common preparation mistakes to avoid

  • Using a trade or DBA name instead of the legal entity name, which causes mismatches during bank or tax validation and delays onboarding.
  • Entering an incorrect or malformed EIN, triggering backup withholding or rejection by payers and requiring corrected returns and filings.
  • Failing to confirm signatory authority, leading counterparties to reject the notice or require supplemental corporate resolution documentation.
  • Not preserving an audit trail or signed PDF, which complicates dispute resolution and raises questions about the notice’s authenticity.
