What the Business Information Services Agreement Is

A Business Information Services Agreement is a contract that governs the delivery, use, protection, and ownership of business information services between a provider and a client. It defines the scope of services, performance standards, data handling and security obligations, intellectual property rights, confidentiality terms, payment and billing arrangements, termination conditions, and dispute resolution procedures to reduce operational and legal uncertainty for both parties.

Why this Agreement Matters for Operations and Compliance

A clear Business Information Services Agreement allocates responsibilities, limits liability, and sets security expectations. It helps ensure regulatory compliance, reduces disputes over deliverables, and provides an operational framework for service levels and data protection obligations.

Why this Agreement Matters for Operations and Compliance

Who Typically Prepares or Signs This Agreement

Organizations of varying size prepare and sign Business Information Services Agreements to manage vendor relationships and data handling obligations.

  • Procurement and sourcing teams responsible for vendor selection and contract terms.
  • IT and security leaders ensuring technical and compliance requirements are represented.
  • Legal and finance signatories approving legal terms and payment structures.

Roles include business owners, procurement teams, legal counsel, IT/security managers, and authorized signatories from the client and vendor sides.

Authorized Signers and Typical Approvers

Vendor Signatory

Chief Operating Officer or authorized company officer signs on behalf of the service provider. This person confirms operational commitments, service levels, and that the provider has authority to license or share required intellectual property.

Client Signatory

Procurement director, general counsel, or CFO signs for the client. The signer accepts contractual obligations, approves payment terms, and confirms the client has authority to bind the business to confidentiality and data processing provisions.

  • Approve: Legal and finance review and approve terms.
  • Execute: Authorized signers sign; completed document archived.

Keep Amendment Procedures Simple
Require written amendments signed by authorized representatives and store amendment history to preserve contract integrity.
