WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to furnish such services and agrees to provide them under the terms and conditions of this Agreement effective as of the Effective Date:

SCOPE OF WORK

The Service Provider shall perform the services described below. All services shall be performed in a professional manner consistent with industry standards.

PAYMENT TERMS

Compensation: Client agrees to pay Service Provider the amounts set forth below in consideration for the services rendered. Fees do not include taxes unless expressly stated.

Invoices shall be delivered to the billing address above or to the billing contact and are due as specified in the Payment Schedule. Disputed invoice items must be submitted in writing within 14 days of invoice receipt; undisputed amounts remain payable.

TERMS AND TERMINATION

Term: This Agreement commences on the Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public, confidential or proprietary information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as required to perform its obligations under this Agreement. Confidential information does not include information that is or becomes generally known to the public through no fault of the Receiving Party, or that is independently developed without use of the Disclosing Party’s confidential information.

Upon expiration or termination of this Agreement, the Receiving Party shall return or destroy, at the Disclosing Party’s option, all confidential materials and certify in writing the destruction or return of such materials.

INSURANCE & REPRESENTATIONS

Service Provider represents that it maintains commercially reasonable insurance coverage appropriate to the services performed. Provider shall, upon request, furnish certificates of insurance evidencing such coverage and naming Client as an additional insured where reasonably requested and applicable.

TRADE REFERENCES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in such state.

ENTIRE AGREEMENT

This document, together with any attachments or exhibits expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS

Each party certifies that the information provided in this Business Information Sheet is true, complete, and accurate to the best of its knowledge, and that each signatory is authorized to execute this Agreement on behalf of the party for which they sign.
