What the Business Information Update Is and When It’s Used

A Business Information Update is a standardized notice companies use to report changes to core company data — for example, legal name, federal tax identification number (EIN), business address, authorized signer details, or banking instructions. Organizations provide it to banks, vendors, payers, government agencies, and internal teams to ensure records, payments, and compliance remain accurate. The form can be transmitted electronically in accordance with federal e-signature law (ESIGN, 15 U.S.C. ch. 96) and state rules (UETA or state ESRA) when signatures meet intent, consent, attribution, and retention tests.

Why Issuing a Timely Business Information Update Matters

Keeping official business records current reduces payment delays, prevents backup withholding triggered by incorrect taxpayer identification, and preserves legal and contractual performance. Accurate updates limit disputes and support audit readiness across tax, banking, and vendor systems.

Why Issuing a Timely Business Information Update Matters

Who Typically Prepares or Receives This Update

Organizations that manage payments, vendor relations, compliance, or corporate records commonly prepare and receive Business Information Updates.

  • Accounts payable teams and vendors who reconcile invoices and payment remittance details.
  • Corporate legal and compliance staff who verify signer authority and contractual continuity.
  • Banking partners and payroll providers that require accurate EIN and account details.

Knowing which team owns the update streamlines internal review, signature authority checks, and external distribution.

Key Elements to Include on a Professional Business Information Update

A concise, standardized update includes identity, contact, fiscal, and authorization details plus supporting documentation to avoid processing delays.

Business Identity

Provide the full legal entity name exactly as shown on formation documents and IRS records to avoid mismatched-record issues during validation and tax reporting.

Tax Identifier

Enter the EIN or SSN in exact numeric format; mismatches can trigger backup withholding or delay tax-related reporting to the IRS.

Business Address

List street address, city, state, and ZIP. P.O. boxes may be acceptable for mailing but often are insufficient for legal service or banking verification.

Primary Contact

Include name, title, phone, and email of the person authorized to answer verification questions or supply further documentation.

Authorized Signer

Name the individual with authority to execute changes, include job title, and indicate whether notarization or witness signatures are required.

Effective Date

State the effective date of the change in MM/DD/YYYY format so downstream systems apply updates correctly for payments, tax forms, and contracts.

Common Mistakes to Avoid When Preparing an Update

  • Submitting inconsistent legal names across documents which causes verification failures and vendor rejections.
  • Failing to include an effective date so downstream systems apply changes incorrectly or retroactively.
  • Using an unauthorized signer whose signature is later disputed, creating payment or contractual hold-ups.
  • Omitting supporting documents like the EIN confirmation letter which delays validation and onboarding.
