BUSINESS INFORMATIVE NOTE

This Business Informative Note (the Note) is entered into as of by and between:

PARTIES

RECITALS

WHEREAS, First Party is engaged in the operation of a business that develops, compiles and maintains certain factual and analytical information, research, and supporting documentation relating to its operations and markets (the Informational Material); and

WHEREAS, Second Party desires to receive specified Informational Material from First Party for the purpose of internal evaluation, business planning, or potential commercial engagement, and First Party is willing to disclose such Informational Material subject to the terms and conditions set forth herein;

WHEREAS, the parties intend that this Note will record the scope, payment terms and confidentiality obligations applicable to such disclosure without creating a financing instrument or security interest.

SCOPE OF WORK

The Informational Material to be provided and the activities to be undertaken by First Party are described below. The description below shall control the parties' expectations and obligations with respect to deliverables and review procedures.

PAYMENT TERMS

Compensation due to First Party for the Informational Material and associated services shall be as follows.

All fees are payable in lawful money of the United States unless otherwise agreed in writing. Fees that remain unpaid after the Payment Due period shall accrue the Late Fee specified above and the prevailing party may suspend delivery of further Informational Material until amounts due are paid in full.

TERM AND TERMINATION

This Note shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Note for material breach by the other party if such breach is not cured within the Notice Period following written notice. Termination shall not relieve the obligor of liabilities accrued prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Note, "Confidential Information" means non-public information disclosed by First Party to Second Party, whether oral, written, or electronic, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information expressly includes the Informational Material, business plans, customer lists, pricing, financials, and technical data.

Second Party shall: (a) hold and maintain Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except to employees or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) use Confidential Information solely for the purpose set forth in the Scope of Work. The foregoing obligations shall not apply to information that: (i) is already known to Second Party without restriction; (ii) is or becomes publicly available through no wrongful act of Second Party; (iii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by Second Party without use of Confidential Information.

Upon termination or expiration of this Note, Second Party shall promptly return or destroy all Confidential Information and certify such return or destruction in writing within 15 days upon request. The confidentiality obligations herein shall survive termination for a period of three (3) years, except with respect to trade secrets, which shall survive as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Note shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of any disputes arising under this Note.

ENTIRE AGREEMENT

This Note constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings, and communications, whether oral or written. Any amendment or modification of this Note must be in writing and signed by duly authorized representatives of both parties.

REPRESENTATIONS AND COVENANTS

Each party represents and warrants that it has full power and authority to enter into this Note and perform its obligations hereunder, and that its execution and performance will not violate any agreement or legal obligation by which it is bound. Each party covenants to comply with all applicable laws in the performance of its obligations.
