RECITALS

WHEREAS, Company is engaged in the business of providing management, consulting, technology and related commercial services and possesses personnel and resources necessary to perform the services contemplated by this Agreement; and

WHEREAS, Counterparty desires to obtain from Company certain business services and Company is willing to provide such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the initial scope, payment terms, confidentiality obligations and other core terms that will govern their commercial relationship pending the negotiation of any further detailed statements of work.

SCOPE OF WORK

Company shall perform the services and deliverables described below in a professional and workmanlike manner consistent with industry standards. Specific tasks, milestones and acceptance criteria shall be set forth in writing by the parties and appended to this Agreement as specific Statements of Work when applicable.

PAYMENT TERMS

In consideration for the performance of services, Counterparty shall pay Company in accordance with the following terms.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the desired termination date. Either party may terminate immediately for material breach if such breach is not cured within 15 days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that during the course of performance it may receive Confidential Information from the other party (the "Disclosing Party"). "Confidential Information" means non-public business, technical and financial information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given its nature. The Receiving Party shall: (a) hold the Confidential Information in confidence with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely for performance of this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and are bound by obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was known to the Receiving Party prior to disclosure; (iii) is rightfully received from a third party without an obligation of confidentiality; or (iv) is independently developed without use of the Disclosing Party’s Confidential Information. The obligations in this clause shall survive termination of this Agreement for a period of .

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any disputes arising out of this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all its assets provided the assignee assumes all obligations hereunder.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices are effective upon receipt.

ENTIRE AGREEMENT

This Agreement, together with any attached Statements of Work and written exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, understandings and agreements, whether written or oral. Any modification or waiver of any provision of this Agreement must be in writing and signed by both parties.
