Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for material breach may be immediate if the non-breaching party provides written notice and the breaching party fails to cure within thirty (30) days of such notice unless otherwise agreed in writing.

Confidentiality

Each party acknowledges that it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for performance under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and who are bound to confidentiality obligations at least as protective as those set forth herein. Independent Contractor; Indemnification; Insurance

Service Provider is an independent contractor and not an employee, agent, partner or joint venturer of Client. Service Provider shall be solely responsible for employment taxes, withholding, and benefits for its employees and agents. Service Provider shall indemnify and hold Client harmless from third-party claims arising from Service Provider's gross negligence or willful misconduct in performance of services under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties agree that disputes will be resolved in the courts of that state unless otherwise mutually agreed in writing.

Entire Agreement

This Agreement, together with the Business Input Sheets, schedules and attachments incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
