Confidential information shall not include information that is or becomes publicly known through no fault of the receiving party, or that is independently developed by or rightfully received by the receiving party without restriction. The parties acknowledge that the disclosure of trade secrets or competitively sensitive data may cause irreparable harm; accordingly, equitable relief including injunctive relief shall be available in addition to other remedies.

Governing Law and Entire Agreement
