WHEREAS, Client requires installation services for business equipment, systems, or fixtures at the installation location described below; and

WHEREAS, Installer represents that it possesses the necessary expertise, personnel, licenses, and insurance to perform the installation services in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth the terms, conditions, and responsibilities that will govern the performance of the installation services.

Installer shall furnish all labor, materials, tools, equipment, supervision, and testing necessary to complete the work described below in accordance with applicable codes and industry standards. Detailed scope:

Time is of the essence. Installer shall notify Client in writing of any conditions likely to delay performance and shall propose a revised schedule for approval.

PAYMENT TERMS

Payments shall be due within days of invoice receipt. Late payments shall accrue interest at the lesser of per month or the maximum rate permitted by law. Client shall be responsible for reasonable costs of collection, including attorneys' fees.

CHANGES, DELAYS & WARRANTY

Change orders: Any change to the Scope of Work must be documented in writing and signed by both parties. Installer shall provide a written change order describing cost and schedule adjustments prior to performing changed work.

Warranty: Installer warrants that work performed shall be free from defects in workmanship for a period of from final acceptance. Materials are warranted only to the extent the manufacturer provides a warranty.

TERM AND TERMINATION

Term: This Agreement commences on the Effective Date set forth above and, unless earlier terminated in accordance with this section, shall terminate upon Completion Date or final acceptance by Client.

Termination for convenience: Either party may terminate this Agreement for convenience upon days' written notice to the other party. Termination for cause: Either party may terminate for material breach if the breaching party fails to cure within a commercially reasonable period after written notice. Upon termination, Client shall pay Installer for all work performed and reasonable demobilization costs.

CONFIDENTIALITY

Each party agrees that Confidential Information disclosed in connection with this Agreement shall be used solely for performance under this Agreement and shall not be disclosed to third parties except as required by law or to its employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is publicly available through no fault of the receiving party.

LIMITATION OF LIABILITY

Except for breach of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party for claims arising out of or related to this Agreement shall not exceed the total amount paid by Client to Installer under this Agreement.

INSURANCE & COMPLIANCE

Installer shall maintain insurance customary for installations of this type, including commercial general liability and workers' compensation, and shall comply with all applicable laws, codes, and permit requirements. Installer shall provide certificates of insurance on request.

GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties: . Exclusive venue for disputes shall be the competent state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits and executed change orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

Upon completion, Installer shall notify Client in writing. Client shall have a reasonable period to inspect and either accept the work or provide a deficiency list. Final payment shall be due following acceptance or resolution of material deficiencies in accordance with the Payment Terms.
