BUSINESS INSTRUCTION TEMPLATE

This Business Instruction Template (the Agreement) is made and entered into on , by and between:

RECITALS

WHEREAS, Client requires certain business instructions, operational direction, and related services to be performed in accordance with written instruction and agreed specifications; and

WHEREAS, Service Provider has represented that it possesses the expertise, personnel, and resources necessary to perform the services described in this Agreement and agrees to perform such services under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the following tasks and provide the deliverables set forth below in accordance with Client's instructions and any schedules attached or referenced:

PAYMENT TERMS

Client shall pay Service Provider as set forth below for performance of the Scope of Work. All amounts are payable in lawful currency unless otherwise agreed in writing.

Invoices shall be sent to Client at the address above unless an alternate billing address is provided in writing. Payment is due within the period specified in the invoice. Client agrees to pay reasonable costs of collection, including attorneys' fees, for any overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if such breach remains uncured for the notice period specified above after written notice. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, Confidential Information means all non-public information disclosed by one party to the other in any form, whether oral, written, electronic, or observed, that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt notice to permit the disclosing party to seek protective measures.

The receiving party shall: (i) hold Confidential Information in strict confidence, (ii) not use Confidential Information for any purpose outside the performance of this Agreement, and (iii) restrict disclosure to employees and contractors with a need to know who are bound by confidentiality obligations at least as protective as those herein. These obligations shall survive termination of this Agreement for years.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes by negotiation prior to initiating any formal dispute resolution.

REPRESENTATIONS, WARRANTIES, AND LIABILITY

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations. Service Provider warrants that services shall be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly provided herein, neither party makes any other warranty, and each party's liability shall be limited to direct damages up to the total fees paid under this Agreement; neither party shall be liable for incidental, consequential, or punitive damages.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may specify in writing. Notice is effective upon receipt.
