What the Business Integration Adjustment Is

A Business Integration Adjustment is a formal amendment used to reconcile operational, financial, or contractual terms after two business units, systems, or partners are merged or otherwise integrated. It records negotiated changes to responsibilities, timelines, resource allocations, and compensation, and creates an auditable trail of the agreed corrections to original agreements or integration plans. Use the Adjustment to document scope revisions, data-mapping fixes, post-close allocations, or transitional service modifications so all parties share a single authoritative record of the corrected terms.

Why a Clear Adjustment Matters for Integrations

A concise Business Integration Adjustment reduces ambiguity by creating a signed, dated record of modifications, protecting parties from later disputes and providing a clear basis for operational and accounting changes.

Why a Clear Adjustment Matters for Integrations

Who Typically Prepares and Signs This Adjustment

Teams that manage mergers, acquisitions, vendor integrations, or platform consolidations commonly prepare this document to formalize agreed corrections.

  • Integration managers and program leads who coordinate technical and operational alignment between teams.
  • Legal counsel and contract administrators who confirm that changes comply with master agreements and regulatory obligations.
  • Finance and accounting representatives who record allocation changes, chargebacks, or post-close purchase price adjustments.

Signatories usually include authorized corporate officers, delegated agents, and any counterparty representatives whose approval is required under the original agreement.
