Parties

This Business Integration Agreement ("Agreement") is entered into as of by and between (hereinafter "Integrator" or "Party A") and (hereinafter "Client" or "Party B"). Each of Integrator and Client may be referred to individually as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, Integrator represents that it has expertise in system, process, and operational integrations, including but not limited to software interoperability, data migration, and workflow alignment (the "Services"); and

WHEREAS, Client desires to engage Integrator to perform the Services described in this Agreement and Integrator is willing to perform such Services under the terms and conditions set forth herein.

Scope of Work

Integrator shall perform the integration Services described below. The Parties acknowledge that changes to the Scope of Work may require written change orders executed by authorized representatives of both Parties.

Payment Terms

Client shall pay Integrator the fees for the Services in accordance with the terms set forth below. Unless otherwise agreed in writing, fees are exclusive of applicable taxes and expenses which shall be the responsibility of the Client.

Invoices shall be submitted by Integrator and are due within days from the invoice date. Any undisputed amount not paid when due shall accrue interest at the rate of percent per month (or the maximum rate permitted by law, if lower).

Term and Termination

This Agreement shall commence on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Either Party may terminate for material breach if the breaching Party fails to cure such breach within 30 days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

Each Party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other Party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical and financial information disclosed in any form. Confidential Information does not include information that: (a) is or becomes generally available to the public through no act or omission of the Receiving Party; (b) was rightfully known by the Receiving Party prior to disclosure; (c) is disclosed to the Receiving Party by a third party having the right to disclose; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its employees, contractors or advisors who have a bona fide need to know provided that such persons are bound by confidentiality obligations no less protective than those herein. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as such information retains trade secret status under applicable law.

Indemnification and Liability

Each Party shall indemnify, defend and hold harmless the other Party from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's gross negligence or willful misconduct in the performance of its obligations under this Agreement. Except for a Party's breach of confidentiality or indemnification obligations, neither Party shall be liable to the other for consequential, incidental, special or punitive damages. Each Party's aggregate liability under this Agreement shall not exceed the total fees actually paid under this Agreement in the twelve (12) months preceding the event giving rise to liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising under this Agreement.

Miscellaneous

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except to a successor in interest by merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.

Amendment: This Agreement may be amended only by a written instrument executed by authorized representatives of both Parties.

Entire Agreement

This Agreement, including any exhibits, schedules and executed change orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral.
