What a Business Intent Letter Is and when it's used

A Business Intent Letter is a written statement outlining one party's proposed terms and intent to negotiate or enter a future commercial arrangement. It typically summarizes basic deal points, timelines, and any limited exclusivity or confidentiality expectations, while reserving detailed contract drafting for later. The letter can be formal or informal and is often used to begin due diligence, secure preliminary approvals, or record mutual understanding before signing a binding agreement.

Why a clear Business Intent Letter matters

A concise Business Intent Letter clarifies expectations, preserves negotiation leverage, and reduces misunderstandings before detailed contracts are drafted. It helps allocate negotiating effort, signals seriousness to counterparties, and can include short-term protections like confidentiality or exclusivity while parties complete due diligence.

Why a clear Business Intent Letter matters

Who typically prepares and receives this letter

Business Intent Letters are used by companies, investors, and advisors to document preliminary deal terms and next steps before drafting a formal contract.

  • Buyers and investors assessing acquisition or funding opportunities and requesting exclusivity or initial terms.
  • Sellers and founders summarizing preliminary sale, investment, licensing, or partnership conditions.
  • Legal counsel, brokers, or advisors who prepare the letter to steer due diligence and negotiation.

Use the letter to align parties on scope and timing, then convert agreed points into a binding purchase agreement, license, or contract as appropriate.

Core parts to include in a professional Business Intent Letter

A thorough letter balances brevity and specificity: include parties, deal summary, key terms, timing, confidentiality, and next steps to reduce ambiguity during negotiation.

Parties

Identify each legal entity by full legal name and state of formation so there is no ambiguity about who is negotiating or signing.

Transaction Summary

Concise description of the proposed transaction type, assets or equity involved, and the primary commercial point of the deal.

Economic Terms

High-level price, payment structure, earnouts, or equity split; use ranges where needed but avoid leaving critical amounts blank.

Timing and Conditions

Deadlines for exclusivity, due diligence, regulatory approvals, and a target signing date for a definitive agreement.

Confidentiality

Reference a mutual NDA or include a short confidentiality commitment specifying protected information and permitted uses.

Non-Binding Language

State which provisions are non-binding and which (if any) are intended to be binding, such as confidentiality or exclusivity clauses.

Common timing elements and response expectations

Business Intent Letters frequently include explicit timing for responses, exclusivity, and milestones to keep negotiations on track.

Response window:

Request acceptance or comments within 10–30 days

Exclusivity period:

Typical 30–90 day exclusivity while due diligence proceeds

Due diligence:

Allow 14–60 days depending on complexity

Target signing date:

Specify a proposed date to finalize binding agreement

Expiration:

Include the letter's expiry for clarity

Common drafting errors to avoid

  • Vague economic terms that omit price formulas or payment timing create disputes and slow deal closure.
  • Failing to state which provisions are binding versus non-binding can lead to unintended contractual obligations.
  • Omitting authorization details for signers risks later challenges about whether the signer had authority to commit the entity.
  • Not attaching or referencing a separate NDA leaves sensitive disclosures unprotected during due diligence.

Risks and potential consequences of mistakes

Unenforceable terms: Ambiguity may void commitments
Confidentiality breach: Loss of trade secrets risk
Financial exposure: Unexpected liabilities may arise
Regulatory issues: Certain filings may be required
Reputational harm: Public disputes can damage trust
Delayed closings: Missing deadlines extends timelines
