What the Business Intent to Prime Letter Is

A Business Intent to Prime Letter is a formal written notice used in procurement and contracting to record a company’s intent to act as the prime contractor or to assume primary contracting responsibilities on a specified project. The letter identifies the parties, the solicitation or contract reference, a concise description of the scope or services the sender proposes to prime, and the proposed effective date. It creates a clear paper trail for procurement officers and potential subcontractors, documents authority to negotiate or enter into the prime contract, and supports compliance reviews during proposal evaluation.

Why a Clear Intent Letter Matters

A concise letter reduces ambiguity about roles, helps procurement decision-makers track proposals, and documents the sender’s commitment for corporate and legal records.

Why a Clear Intent Letter Matters

Who Typically Prepares or Receives This Letter

Typical participants and recipients when an intent-to-prime statement is used.

  • Prime bidders and prospective prime contractors who will lead contract performance and coordination.
  • Subcontractors and joint-venture partners asked to confirm roles or to acknowledge a prime assignment.
  • Procurement officers, contracting officers, and legal teams who document proposal status and responsibility.

Use clear authority lines and contact details to avoid later disputes or processing delays.

Essential Elements to Include

A professional Business Intent to Prime Letter contains structured factual items that make responsibilities and timelines unambiguous for procurement and legal review.

Identification

Full legal name of the business, DBA if applicable, and official contact information including mailing address and email for contracting correspondence.

Reference

Contract or solicitation identifier such as RFP/RFQ number, procurement office name, and any bid or proposal reference used by the issuing authority.

Scope Summary

Concise statement of the work, services, or deliverables the business intends to prime, with limiting language to avoid unintended expansions.

Timeline

Proposed effective date and key milestone dates, including anticipated start of performance and any firm delivery deadlines or bid-response cutoffs.

Financial Terms

High-level payment terms, funding source if known, and any price or rate assumptions tied to the intent letter; avoid detailed price lists in preliminary notices.

  • Submitting without evidence the signer has authority, resulting in rejected or non-binding notices during procurement checks.
  • Failing to reference the correct solicitation or contract number, causing the document to be misfiled or ignored.
  • Omitting required attachments or insurance/financial documentation requested by the RFP, delaying evaluation or disqualification.

Potential Consequences of an Incorrect Letter

Disqualification: Procurement rejection or loss of consideration
Contract Dispute: Claims over scope or authority
Payment Delays: Invoicing or funding may be withheld
Regulatory Risk: Noncompliance with contract clauses
Invalid Signature: Signature defects may void notice
Privacy Exposure: Improper handling of data triggers notice obligations
