Recitals

WHEREAS, each Party represents that it has the authority and capacity to perform the responsibilities allocated to it under this Document and that the interconnection will be executed in a manner that protects the confidentiality, integrity, and availability of shared systems; and

Payment Terms

Late Payment: Overdue amounts shall accrue interest at per month (or the maximum rate permitted by applicable law). In addition to interest, the prevailing Party is entitled to recover collection costs and reasonable attorneys' fees.

Term and Termination

Term: This Document shall commence on the Effective Date and continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either Party may terminate this Document for any reason upon providing not less than days' prior written notice to the other Party.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party materially breaches this Document and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach, provided that material breach shall include willful failure to perform core interconnection obligations or repeated security incidents caused by gross negligence.

Confidentiality

Each Party acknowledges that during performance it may receive Confidential Information of the other Party. Confidential Information shall include technical designs, configurations, traffic data, security credentials, pricing, and business plans. Each Party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for purposes of performing under this Document; and (c) limit access to those employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidentiality Period: Confidential obligations shall survive for years following expiration or termination of this Document, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Liability and Indemnification

Each Party shall defend, indemnify, and hold harmless the other Party from third-party claims arising out of its grossly negligent acts or willful misconduct in connection with its obligations under this Document. Except for indemnification obligations and willful misconduct, neither Party shall be liable for consequential, special, or punitive damages. The aggregate liability of each Party for direct damages arising from this Document shall be limited to the greater of the amounts paid or payable under this Document in the twelve (12) months preceding the claim.

Governing Law

This Document shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Document constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Assignment: Neither Party may assign this Document without the prior written consent of the other Party, except that a Party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes all obligations hereunder.

Severability: If any provision of this Document is held invalid or unenforceable, the remainder of this Document will remain in full force and effect and such provision will be reformed only to the extent necessary to make it enforceable.
