What the Business Interest Assignment Form Is

A Business Interest Assignment Form is a legal document used to transfer ownership rights in a business interest — for example, membership units in an LLC, partnership shares, or stock in a privately held company. The form identifies the assignor and assignee, describes the interest being transferred, states any consideration paid, and typically includes representations, warranties, signatures, and execution details such as an effective date and applicable governing law. When properly executed, it documents the chain of title and supports later filings, tax reporting, and corporate record updates.

Why a Clear Assignment Form Matters

A professionally prepared Business Interest Assignment Form reduces ambiguity about who owns what, documents consideration, and creates an auditable record that supports legal, tax, and corporate governance needs.

Why a Clear Assignment Form Matters

Who Typically Prepares and Signs This Form

Use precise names, consistent dates, and supporting schedules to reduce later disputes and satisfy tax and recordkeeping requirements.

  • Private company owners and members transferring equity or membership interests for sale or estate planning purposes.
  • Buyers, assignees, and new members documenting acquisition and establishing rights and obligations.
  • Corporate counsel, accountants, and transaction teams preparing records for tax reporting and corporate books.
