What a Business Interest Expression Is and when it’s used

A Business Interest Expression is a concise, written statement a company uses to record and communicate its interest in pursuing a commercial opportunity such as a partnership, acquisition, investment, joint venture, or supply arrangement. It typically summarizes the parties, a brief description of the opportunity, high-level terms, an intended timeline, and a preferred next step. The document is usually nonbinding unless it expressly states binding obligations; it helps set expectations, triggers follow-up due diligence, and creates a dated record of mutual interest to inform later negotiations and formal agreements.

Why preparing a clear Business Interest Expression matters

A well-structured Business Interest Expression documents intent, reduces misunderstandings, and creates a traceable record for negotiations without creating unintended contractual obligations.

Why preparing a clear Business Interest Expression matters

Who typically prepares or receives this document

Use clear party identification, dates, and signature blocks so recipients can respond promptly and accurately.

  • Acquirers and investors assessing targets or new opportunities, documenting preliminary terms and timelines for internal review.
  • Business development or procurement teams sharing initial interest with counterparties to start negotiations or request additional information.
  • Advisors and counsel preparing a neutral summary to protect client position while preserving flexibility for formal agreements.

Step-by-step: preparing and issuing a Business Interest Expression

Follow these steps to create, review, and send an effective Business Interest Expression.

  • 01
Draft the statement: Summarize parties, scope, and high-level terms clearly.
  • 02

  • 03
Send for signature: Use an eSignature solution or wet signature as required.
  • 04

Essential elements to include in a professional Business Interest Expression

Include these six components to make the expression clear, enforceable where intended, and useful for follow-up due diligence.

Parties

Full legal names and contact details for each party, including the individual authorized to negotiate and receive notices.

Purpose

Concise summary of the transaction type and the objective the parties intend to pursue if discussions progress.

High-level terms

Primary economic points such as an indicative price range, consideration structure, or nonbinding milestones.

Timeline

Key dates for exclusivity, response deadlines, and target closing to align expectations and resource planning.

Confidentiality

Reference any separate NDA or state that information exchanged remains confidential and subject to an existing agreement.

Signature details

Signature block with printed name, title, date, and capacity; note if signature creates binding obligations.

Supporting documents to attach with the expression

Attach relevant exhibits to accelerate review and reduce follow-up questions from the recipient.

Executive summary

Two-page overview of opportunity, supporting rationale, and critical assumptions for quick review.

Financial snapshot

Key metrics or an indicative budget to show basis for proposed terms without full disclosure.

Draft term sheet

Nonbinding term sheet to capture the main economics and proposed structure if available.

Confidentiality agreement

Signed NDA or a reference to a standing confidentiality agreement if sensitive data will be exchanged.

Practical tips for a clear, low-risk Business Interest Expression

Follow these best practices to keep the expression useful and to avoid accidental commitments or disclosure of sensitive information.

Be explicit about binding intent
State whether the expression is binding or nonbinding to avoid later disputes over enforceability.
Limit confidential disclosures
Avoid attaching detailed proprietary data until an NDA is in place and the recipient’s authority verified.
Confirm signer authority
Include signer title and, if necessary, attach a board resolution or authorization for corporate signers.
Keep records
Retain the executed document, timestamps, and any communications for audit and compliance purposes.

Common errors to avoid when preparing this document

  • Using vague language that mixes intentions with commitments; this can create ambiguity about whether obligations were intended.
  • Failing to identify signatory capacity; signing without capacity details often leads to disputes about authority.
  • Disclosing sensitive financial or IP details before executing an NDA, increasing exposure to data misuse.
  • Neglecting to set a clear response deadline, which complicates scheduling and can stall negotiations indefinitely.

Consequences of an incorrect or unclear Business Interest Expression

Misrepresentation: May create exposure to liability or contract claims
Unauthorized signatures: Could render the document void or challengeable
Confidentiality breach: Risk of losing trade secrets or privileged information
Regulatory exposure: Certain disclosures may trigger securities or procurement rules
Tax implications: Incorrect characterization of transactions can affect reporting
Reputational harm: Unclear intent may damage negotiating leverage
