What a Business Interlock Agreement Is and When It Applies

The Business Interlock Agreement is a contractual arrangement between two or more commercial entities that coordinates operating boundaries, competitive conduct, or shared resource use while preserving independent management and decision-making. Typical provisions describe scope of intercompany interactions, information-sharing rules, non-compete or non-solicitation limits, allocation of responsibilities, dispute resolution, confidentiality, term and termination, and remedies for breach. These agreements are used to manage overlap where businesses have related ownership, shared directors, or complementary operations and are drafted to reduce regulatory risk while clarifying commercial expectations between the parties.

Why a Written Interlock Agreement Matters

Provides clear operational boundaries and allocates responsibilities to limit conflicts, protect confidential information, and reduce litigation and regulatory exposure. It helps parties document mutual expectations, avoid unintended competitive conduct, and create defined processes for decision making and dispute resolution.

Why a Written Interlock Agreement Matters

Which Teams Typically Prepare and Use These Agreements

Typical users include corporate counsel, compliance officers, and business development teams who manage related-party interactions.

  • Corporate legal teams overseeing conflict-of-interest policies and intercompany agreements across affiliates.
  • C-suite executives aligning strategic operations, resource sharing, and governance between connected entities.
  • Compliance officers monitoring regulatory risk, reporting obligations, and information barriers.

These roles collaborate to draft enforceable clauses that reflect commercial realities and legal constraints across jurisdictions.

Primary Internal Roles and Responsibilities

General Counsel

Legal lead responsible for drafting and approving interlock provisions, assessing antitrust and fiduciary risks, coordinating with external counsel, and ensuring the agreement aligns with corporate governance policies, board approvals, and applicable state and federal requirements including ESIGN and UETA for electronic execution.

Compliance Officer

Manages implementation of operational controls, trains staff on information-sharing boundaries, maintains audit logs, supervises consent and record retention practices under HIPAA or other sector rules, and liaises with regulators when intercompany arrangements raise potential reporting or disclosure obligations.

Core Sections to Include and What Each Should Do

Core sections commonly included in a Business Interlock Agreement and how each section allocates rights, responsibilities, and risk between parties.

Scope of Interaction

Precisely define the permitted collaborative activities, excluded conduct, territorial limits, and any customer or product categories covered, minimizing ambiguity about what constitutes allowed intercompany cooperation.

Information Sharing

Set rules for confidential data exchange, permitted recipients, retention limits, security measures, permitted uses, and procedures for responding to data breaches or regulatory inquiries affecting shared information.

Non-Compete / Non-Solicit

Specify duration, geographic scope, restricted activities, exception carve-outs for existing business lines, and remedies for breach while balancing enforceability under state law and include dispute resolution paths to mitigate litigation risk.

Governance

Establish decision-making processes, committee compositions, notice procedures, voting thresholds, reporting cadence, and escalation points for operational disagreements between signatory entities, including documentation requirements and timelines for approvals.

Term & Termination

Define initial term, renewal conditions, termination for convenience and cause, notice periods, wind-down obligations, and post-termination protections for confidential information and customer relationships, and specify transition assistance and final accounting.

Dispute Resolution

Provide governing law, venue selection, escalation steps, mediation and arbitration options, interim injunctive relief provisions, and allocation of costs for prevailing parties, and include timelines for enforcement of judgments.

Common Preparation Mistakes to Avoid

  • Vague scope clauses that fail to specify permissible shared activities often lead to disputes and inconsistent implementation across departments, increasing litigation and compliance risk.
  • Missing or mismatched signatory authority — such as director-level commitments without board approval — can render the agreement unenforceable or expose officers to fiduciary claims.
  • Inadequate data handling clauses that do not address HIPAA, trade secrets, or cross-border transfers create regulatory and contractual liabilities for both parties.
  • Failure to define termination triggers and post-termination obligations can leave parties uncertain about information return, ongoing non-solicitation, or residual payment responsibilities.

Practical Drafting and Execution Recommendations

Practical steps to reduce execution risk and improve clarity in Business Interlock Agreements for multi-party transactions.

Use precise scope and exclusion language
Draft specific permissive and exclusive lists, attach exhibits for products and accounts, and avoid open-ended phrases. Clear definitions reduce dispute risk, enable consistent operational handling, and simplify legal review when issues arise or regulatory questions are raised.
Always verify signer authority and approvals
Confirm each signer's capacity with corporate resolutions, board minutes, or power of attorney. Attach evidence where necessary and record delegation in signature blocks to prevent later challenges to enforceability and ensure contract binds the entity.
Align data handling with sector rules
Include security obligations, permitted uses, breach notification timelines, and retention limits tailored to industry requirements such as HIPAA for healthcare or financial recordkeeping rules. Specify encryption, access control, and audit rights for shared data to reduce regulatory exposure.
Set clear termination and wind-down steps
Define notice periods, data return or destruction processes, ongoing customer obligations, and final accounting procedures. Include transition assistance, non-solicitation survival terms, and dispute escalation pathways to limit business disruption and provide a blueprint for enforcement after termination.
