What the Business Intermediary Document Is and when it applies

A Business Intermediary Document is a contractual form used to define the relationship, obligations, and compensation between an intermediary (broker, agent, finder) and the parties to a commercial transaction. It typically describes the intermediary's scope of services, exclusivity and non-exclusivity terms, fee or commission structure, confidentiality clauses, duration, and termination rights. The document clarifies duties such as buyer or seller introductions, negotiation support, and facilitation of documentation. Properly completed, it helps allocate risk, preserve tax and regulatory records, and set expectations for dispute resolution and governing law.

Why this document matters for risk allocation and clarity

The Business Intermediary Document creates a clear record of authority, compensation, and deliverables to reduce disputes and show intent to contract. It supports enforceability under ESIGN (15 U.S.C. ch. 96) and UETA where electronic execution is used and helps satisfy tax withholding and reporting obligations when commissions are paid.

Core clauses to include in a professional Business Intermediary Document

A well-drafted document contains specific clauses that define duties, fees, liability limits, and administrative processes for execution and dispute resolution.

Engagement Scope

Defines precise intermediary activities, geographic or industry limits, and exclusions to prevent later disagreements about what services were promised.

Compensation

Specifies commission rates, payment triggers, expenses, withholding treatment, and when fees become earned and payable to avoid payment disputes.

Exclusivity

States whether intermediary has exclusive rights and for what period; include carve-outs and survival of exclusivity after termination if applicable.

Confidentiality

Protects shared information, defines permitted disclosures, and sets duration of confidentiality obligations post-termination.

Representations

Each party warrants authority to enter the agreement and that information provided is accurate, supporting reliance and indemnity claims.

Governing Law

Specifies state law and forum for disputes; this affects enforceability and applicable procedural rules in litigation or arbitration.

Common preparation pitfalls to avoid

  • Using informal or abbreviated party names that do not match corporate formation records, which can complicate payment and enforcement.
  • Vague compensation language such as 'reasonable fee' without percentages or triggers, leading to disputes over entitlement and calculation.
  • Failing to specify effective date and termination consequences, which can create uncertainty about commissions earned after contract end.
  • Omitting a clear signature block or failing to capture signer authority, risking claims that signatories lacked capacity to bind their organizations.

Potential consequences of incomplete or incorrect documents

Unenforceable Terms: Contract may be voidable
Payment Disputes: Delayed or withheld fees
Tax Exposure: Incorrect reporting or withholding
Regulatory Risk: Industry-specific penalties
Litigation Costs: Attorney fees and damages
Recordkeeping Failures: Noncompliance with retention rules
