Business Internal Document

This Business Internal Document (the "Agreement") is made and entered into as of by and between (hereinafter "Party A") and (hereinafter "Party B"). Party A and Party B are collectively referred to as the "Parties."

WHEREAS, Party B will perform certain services and provide deliverables described herein for the benefit of Party A and the Parties desire to set forth the terms governing such internal engagement.

SCOPE OF WORK

Party B shall perform the services and deliverables as described below. Party B shall exercise the degree of skill and care customary for similar internal corporate engagements and shall coordinate with Party A's designated contact.

PAYMENT TERMS

Party A will compensate Party B in accordance with the following terms. All amounts specified are in the corporation's reporting currency and subject to internal cost-center routing.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each Party acknowledges that, in the course of performance under this Agreement, it may receive Confidential Information of the other Party. "Confidential Information" means proprietary or non-public information marked or reasonably understood to be confidential. Each Party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) limit disclosure to employees and contractors with a need to know who are bound to confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall survive termination of this Agreement for years, except with respect to trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the receiving Party at the address or contact designated below.

GOVERNING LAW; MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict-of-law principles. The Parties agree that any internal disputes will be handled through the corporation's internal dispute resolution procedures prior to any external action.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach.

ENTIRE AGREEMENT; AMENDMENT

This Agreement (including all Schedules and attachments expressly incorporated herein) constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior negotiations, understandings and agreements. Any amendment or modification must be in writing and executed by authorized representatives of both Parties.
