BUSINESS INTERNATIONAL AGREEMENT

This Business International Agreement ("Agreement") is made effective as of by and between:

Party A — Provider

Party B — Client

Recitals

WHEREAS, Party A provides certain international business services, including but not limited to cross-border consulting, procurement facilitation, and advisory services; and

WHEREAS, Party B desires to engage Party A to perform defined services in one or more jurisdictions and Party A is willing to provide such services subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement govern all cross-border activities between them during the Term, including compliance with applicable export, customs and trade requirements as may apply to deliverables.

1. Scope of Work

Party A shall perform the services described below and deliver related work product in accordance with the schedule agreed by the parties. Specific deliverables, milestones and acceptance criteria shall be as set forth in the box below or in an attached Statement of Work incorporated herein.

2. Payment Terms

In consideration for the services, Party B shall pay Party A as set forth below. All amounts are payable in the currency agreed by the parties and exclusive of taxes unless otherwise stated.

4. Confidentiality

Each party acknowledges that it will receive Confidential Information from the other. Confidential Information means non-public business, technical, financial and strategic information disclosed in connection with this Agreement. Each receiving party shall:

(a) use Confidential Information solely for performance of this Agreement; (b) restrict access to Confidential Information to employees, agents and contractors with need-to-know who are bound by confidentiality obligations; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is publicly known through no breach, already lawfully in possession of the receiving party, or independently developed without reference to the disclosing party's Confidential Information.

5. Compliance and Export Controls

Each party represents and warrants that it will comply with all applicable laws, regulations and rules relating to imports, exports, customs, anti-bribery, and economic sanctions in connection with performance under this Agreement. Parties shall cooperate to provide required export classification or customs information for deliverables upon request.

6. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict-of-law principles.

7. Entire Agreement; Amendments

This Agreement, together with any executed Statements of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

8. Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger, acquisition or sale of substantially all assets. Notices: All notices shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
