What the Business Intro Agreement Is and When It’s Used

A Business Intro Agreement documents a referral or introduction between an introducer and a recipient when the introducer connects a prospective client, customer, or partner to the recipient. It sets out the parties, scope of the introduction, compensation or referral fee terms, exclusivity or non-solicitation limits, confidentiality, and the effective period. The agreement clarifies expectations, reduces disputes about entitlement to fees, and creates a clear record that can be used for internal approvals, tax reporting, and dispute resolution between commercial parties.

Why a Clear Business Intro Agreement Matters

A concise written agreement reduces ambiguity about who earns a referral fee, when payment is due, and how disputes are resolved. It documents business terms that otherwise rely on oral promises and supports later tax and compliance reviews.

Why a Clear Business Intro Agreement Matters

Who Typically Uses a Business Intro Agreement

The Business Intro Agreement is used by professionals and organizations that rely on third-party introductions to source clients, customers, or deals.

  • Real estate brokers, agents, and referral partners coordinating buyer or tenant introductions and commission splits.
  • Financial advisors, lenders, and capital placement agents documenting lead fees and referral compensation.
  • Legal and consulting firms documenting client referrals, conflict checks, and fee-sharing arrangements.

Use this agreement format when an introduction is expected to result in a measurable business transaction and when payment or credit is contingent on a successful outcome.

Step-by-Step: How to Complete and Execute This Agreement

Follow these four steps to prepare, approve, sign, and record the agreement for operational and tax purposes.

  • 01
Draft: Populate parties, introduced prospect, compensation, and effective date.
  • 02
Internal review: Confirm fee calculations, conflict checks, and any required approvals.
  • 03
Signature: Deliver to signers for execution using secure eSignature or wet signature.
  • 04
Recordkeeping: Save the executed agreement and supporting correspondence for retention.

Essential Clauses to Include in a Professional Agreement

A well-drafted Business Intro Agreement contains predictable, enforceable clauses that specify obligations, payment mechanics, and dispute resolution so parties understand their rights and duties.

Parties

Full legal names and entity details for introducer and recipient, including business addresses and contact information for notice.

Scope of Introduction

Clear description of the referral, scope limits, targeted geography or industry, and how an introduction is deemed successful or qualified.

Compensation Terms

Precise fee calculation, timing of payment, conditions precedent, caps, and any clawback or refund obligations tied to cancellations or chargebacks.

Exclusivity and Non-Solicitation

Specify whether the introducer has exclusivity for a period, any non-solicitation limits, and remedies for breach of exclusivity.

Confidentiality

Non-disclosure provisions for proprietary information shared during the introduction and limits on solicitation or client contact.

Governing Law and Dispute Resolution

State choice of law, venue, and whether disputes proceed through arbitration or courts to reduce jurisdictional uncertainty.

Security and Compliance Considerations for Electronic Execution

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Detailed timestamps, IP addresses, and action logs
HIPAA Support: BAA available where protected health data applies
Regulatory Compliance: ESIGN and UETA legal framework adherence
Certifications: SOC 2 Type II and ISO 27001 certified
Access Controls: Role-based permissions and multi-factor options

Common Mistakes to Avoid

  • Vague compensation language that leaves fee calculations open to dispute.
  • Failing to identify the exact introduced party leading to attribution conflicts.
  • Omitting effective dates or milestones that trigger payment obligations.
  • Not documenting consents or approvals required by internal compliance teams.

Risks and Potential Consequences of Errors

Contract Disputes: Loss of fee or litigation exposure
Tax Reporting Issues: Incorrect 1099 reporting can trigger IRS penalties
Breach of Confidentiality: Potential damages and reputational harm
Unclear Attribution: Multiple introducers claiming the same fee
Noncompliance Costs: Administrative and legal costs to resolve errors
Payment Disputes: Delayed collections or chargeback obligations

Typical Electronic Execution Workflow

A standard eSignature workflow for this agreement follows predictable steps from upload to completed record and secure storage.

  • Upload Document: Sender uploads the agreement to the signing platform.
  • Place Fields: Add signature, date, and data fields where required.
  • Authenticate Signers: Choose email, SMS, or stronger authentication methods.
  • Store Executed Copy: Signed PDF and audit trail are archived for retention.

Signer Order Sequential or parallel as required

Choose a platform that supports the document formats and integrations you use and that meets your compliance needs.

  • File Formats: PDF and DOCX supported
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: SMS, email, or advanced options

Ensure the platform captures an auditable trail and supports secure storage; confirm HIPAA BAA availability for healthcare-related introductions and appropriate API or connector support for your systems.
