What a Business Investment Agreement Is

A Business Investment Agreement is a formal contract that documents the terms under which an investor provides capital to a business in exchange for equity, debt, revenue share, or other economic rights. It defines parties, investment amount, valuation or interest, use of funds, closing conditions, representations and warranties, investor rights, and exit mechanics. The agreement sets enforceable obligations and allocations of risk between the company and the investor, and typically sits alongside subscription schedules, investor notices, and capitalization exhibits.

Why this Agreement Matters for Investors and Companies

A clear Business Investment Agreement reduces ambiguity about ownership, funding expectations, and exit scenarios while documenting protections like preemptive rights and information covenants. It creates a contractual basis for remedies if parties default and supports accurate tax and regulatory reporting. Properly executed, the agreement also helps satisfy investor due diligence and provides evidence of binding commitment under applicable electronic-signature laws.

Why this Agreement Matters for Investors and Companies

Who Typically Prepares and Signs This Agreement

Each signer should confirm authority to bind their entity and consult counsel for securities, tax, or regulatory questions before execution.

  • Founders and executives preparing fundraising documents and confirming capital terms.
  • Angel investors, venture funds, and private equity backers formalizing commitments and rights.
  • Outside counsel and corporate counsel reviewing legal, tax, and securities implications.
