Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice. Termination shall not relieve either party of obligations accrued prior to the effective termination date.

Confidentiality

Each party acknowledges that, in connection with this Agreement, it may receive Confidential Information from the other party. "Confidential Information" means non-public business, technical, financial or other information designated as confidential or which a reasonable person would understand to be confidential under the circumstances.

Each receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as necessary to perform this Agreement or as required by law, provided that the receiving party gives prompt written notice of any compelled disclosure and cooperates in seeking confidential treatment.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Exclusive venue for disputes shall be the courts located within that State, unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, including all schedules and written exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices are effective upon personal delivery, confirmed email transmission, or three (3) days after deposit with a nationally recognized overnight courier.

Execution

The persons signing below represent and warrant that they are duly authorized to execute this Agreement on behalf of the party for whom they sign. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
