Confidentiality

The receiving party shall take reasonable measures to protect Confidential Information and shall only use it to perform obligations under this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

Representations; Remedies

Each party represents that it has the authority to enter into this Agreement. Client acknowledges that timely payment is an essential term. In addition to late fees, failure to pay may result in suspension of services and recovery of costs through collection, including reasonable attorneys' fees.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified by Client State: without regard to conflicts of law principles.

Entire Agreement

This Invoice and Service Agreement, including any referenced attachments and the invoice line items, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings or representations. No modification will be effective unless in writing and signed by both parties.
