Invoices are payable within days of invoice date. Late payments shall accrue interest as specified above and Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider to collect overdue amounts.

Either party may terminate this engagement for material breach if the breach remains uncured after the notice period specified above. Termination shall not relieve Client of the obligation to pay for services rendered and costs incurred through the effective date of termination.

Each party shall treat as confidential all non-public information received from the other party in connection with this Report. Confidential information excludes information that: (a) is or becomes publicly available other than by breach of this Agreement; (b) was known to the receiving party prior to disclosure; or (c) is rightfully received from a third party without a duty of confidentiality. The receiving party shall use at least the same degree of care to protect such information as it uses for its own confidential information, but not less than reasonable care.

GOVERNING LAW

This Agreement and any dispute arising out of or relating to this Agreement shall be governed by the laws of the State of without regard to conflicts of laws principles.

ENTIRE AGREEMENT

This document, including any attachments and referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations and warranties, whether written or oral.
