Practical Tips to Improve Accuracy and Enforceability

Practical tips to improve accuracy, enforceability, and efficiency when using the Business IP MOI Template.

Confirm signer authority and attach proof
Before execution, verify corporate signatory authority via board resolution or power of attorney. Attach the supporting document to the MOI; absence of authority is a common basis for contract avoidance and can complicate title transfers during diligence.
Use precise assignment and license language
Avoid vague terms like 'all rights' without defining scope. Specify exclusivity, territorial limits, duration, sublicensing rights, and retained moral rights. Precision reduces disputes and clarifies tax and royalty reporting obligations for both parties.
Include complete asset schedules and exhibits
Attach an itemized schedule with registration numbers, jurisdictions, and invention descriptions. Update schedules promptly after new filings or acquisitions. Accurate exhibits accelerate patent prosecution and reduce errors in recordation or licensing negotiations.
Leverage secure e-signing with audit trails
Use a compliant eSignature solution that captures audit trails, timestamps, and signer authentication. Ensure platform supports ESIGN/UETA and, for HIPAA-linked matters, a BAA. Maintain exported certificates with the executed MOI.
