BUSINESS IPA TEMPLATE

This Independent Professional Agreement ("Agreement") is made and entered into as of by and between:

WHEREAS

WHEREAS, Company desires to engage Professional to perform certain services in connection with the business activities described herein; and

WHEREAS, Professional represents that Professional has the skill, experience and capacity to perform such services on an independent contractor basis and is willing to perform such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. SCOPE OF WORK

Professional shall perform the services described below (the "Services"). Professional shall perform the Services in a professional manner in accordance with industry standards and in compliance with all applicable laws and regulations.

2. PAYMENT TERMS

As full compensation for the Services, Company shall pay Professional the fees set forth below in U.S. dollars, subject to the terms of this Section.

Professional shall submit invoices in accordance with the payment schedule. Payments are due within the number of days specified in the payment schedule after receipt of a proper invoice unless otherwise agreed in writing. The parties acknowledge that Professional is responsible for all taxes arising from payment.

3. TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any obligation under this Agreement and fails to cure such breach within the notice period specified above. Company may immediately terminate for cause if Professional engages in gross negligence, willful misconduct, or material violation of law in connection with the Services.

4. CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by Company to Professional in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Professional shall hold Confidential Information in strict confidence, shall not disclose it to any third party except as expressly authorized in writing, and shall not use Confidential Information for any purpose other than performing the Services. Professional shall take all reasonable measures to protect Confidential Information, at least as protective as used to protect Professional's own confidential information.

The obligations in this Section do not apply to information that: (a) is or becomes publicly available through no fault of Professional; (b) was rightfully known to Professional without restriction prior to disclosure by Company; (c) is rightfully obtained from a third party without breach of any obligation of confidentiality; or (d) is independently developed by Professional without use of Confidential Information. Upon termination of this Agreement, Professional shall return or destroy Confidential Information as directed by Company.

5. REPRESENTATIONS; INDEPENDENT CONTRACTOR STATUS

Each party represents and warrants that it has authority to enter into this Agreement. Professional is an independent contractor and nothing in this Agreement shall create an employment, partnership, or joint venture relationship. Professional shall be solely responsible for all employment taxes, withholdings and other statutory obligations applicable to Professional and Professional's employees or subcontractors.

6. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, all work product, deliverables and inventions conceived or developed by Professional specifically for Company under this Agreement shall be the exclusive property of Company, and Professional hereby assigns to Company all right, title and interest in such work product. Professional shall, at Company's expense, execute documents reasonably necessary to effectuate such assignment.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from third-party claims to the extent arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM A BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.

10. MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Company may assign this Agreement in connection with a merger or sale of substantially all of its assets.
