Business IPC Document

This Business IPC Agreement (the Agreement) is made effective as of by and between:

WHEREAS / RECITALS

WHEREAS, Company conducts business in the field of its stated operations and requires professional services and consultation to perform certain specialized functions and deliverables; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources to provide the services described in this Agreement and is willing to provide such services to Company on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services and deliver the deliverables described below. Service Provider agrees to perform the work in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Company shall pay Service Provider the fees and reimbursements set forth below in consideration for the performance of the Services.

Any amounts not paid when due shall accrue interest at the rate set forth above or, if no rate is specified, at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Company shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees, incurred to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for convenience upon written notice to the other party given at least the number of days set forth above. Either party may terminate immediately for cause upon material breach by the other party if such breach is not cured within 15 days after written notice thereof, or immediately for material violations of law, gross negligence, or willful misconduct.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by a party that is designated as confidential or that a reasonable person would consider confidential given the nature of the information. Confidential Information includes, but is not limited to, business plans, technical data, financial information, trade secrets, customer lists, and pricing.

Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information shall not include information that: (i) is or becomes generally known to the public without breach of this Agreement; (ii) was known to the receiving party at the time of disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Upon termination or expiration of this Agreement, receiving party shall promptly return or destroy all Confidential Information and certify destruction upon request.

INTELLECTUAL PROPERTY

Unless otherwise agreed in a written amendment, all materials and deliverables created by Service Provider specifically for Company under this Agreement (Deliverables) shall be deemed "work made for hire" and Company shall own all right, title, and interest in such Deliverables. To the extent title cannot vest automatically, Service Provider hereby assigns to Company all right, title and interest in the Deliverables. Service Provider retains ownership of its pre-existing tools, methodologies and general know-how, and grants Company a non-exclusive, royalty-free license to any of those elements only to the extent necessary to use the Deliverables.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

NOTICES

All notices required or permitted by this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any exhibits or attachments, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign this Agreement in connection with a merger, sale of substantially all its assets, or corporate reorganization.

Limitation of Liability: Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party shall be liable for consequential, incidental, special, or punitive damages. The aggregate liability of either party for direct damages arising out of this Agreement shall not exceed the total fees paid by Company to Service Provider under this Agreement in the preceding twelve (12) months.

Severability, Waiver: If any provision is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Failure to enforce any right is not a waiver of that or any other right.
