Term and Termination

Either party may terminate this Statement for convenience upon providing written notice to the other party in accordance with the Termination Notice above. Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination will not relieve Client of obligation to pay fees earned or expenses incurred through the effective date of termination.

Confidentiality

Each party acknowledges that, in the course of performance, it may receive confidential, proprietary or non-public information relating to the other party's business, operations, or clients ("Confidential Information"). Each party agrees to hold Confidential Information in strict confidence, to use Confidential Information solely for the purposes of performing its obligations under this Statement, and not to disclose Confidential Information to any third party except as required by law or with the prior written consent of the other party. The obligations in this section shall survive termination of this Statement for a period of three (3) years.

Representations and Warranties; Liability

Each party represents that it has the authority to enter into this Statement and to perform its obligations hereunder. Advisor will perform services in a manner consistent with industry standards. Except as expressly provided herein, neither party makes any other warranties, express or implied. In no event shall Advisor be liable for consequential, incidental, special or punitive damages. Advisor's aggregate liability for claims arising out of or related to this Statement shall be limited to the total fees paid by Client to Advisor under this Statement in the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Statement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions. The parties agree to attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the county of the Client's principal place of business, unless otherwise agreed in writing.

Entire Agreement; Amendments

This Statement, together with any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment or modification of this Statement shall be effective unless in writing and executed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Statement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Statement shall create a partnership, joint venture, employer-employee or agency relationship. Headings are for convenience only and shall not affect interpretation.
