This Independent Sales Organization Services Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks the services of a qualified Independent Sales Organization to solicit and onboard merchants for payment processing, provide merchant support, and manage merchant relationships under the terms set forth in this Agreement.

WHEREAS, Service Provider represents that it possesses the experience, personnel, licenses and authority to perform the services described herein and will perform such services in accordance with applicable law and industry standards.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Work

Service Provider will provide the services described below and in any written Schedules or Exhibits attached to this Agreement. Services include sales solicitation, merchant onboarding, risk monitoring, first-line merchant support, and coordination with Client's underwriting and operations teams. Service Provider shall perform services in a professional manner and shall comply with Client policies provided in writing.

2. Payment Terms

In consideration for the services rendered, Client shall pay Service Provider as follows. All amounts are stated in United States dollars unless otherwise indicated.

Service Provider shall submit invoices in accordance with the payment schedule. Client shall pay undisputed invoices within the agreed payment period. Disputed amounts shall be notified in writing within fifteen (15) days of receipt of invoice and the parties shall use commercially reasonable efforts to resolve disputes promptly.

3. Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice. Either party may terminate immediately for cause in the event of fraud, criminal activity, or regulatory action that makes continued performance unlawful.

4. Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, including merchant data, underwriting criteria, pricing, business plans and technical information. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information only for performance of this Agreement; and (c) restrict access to Confidential Information to employees, contractors and agents who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential obligations do not apply to information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law or regulation, provided the receiving party gives prompt notice to the disclosing party and limits disclosure to the extent legally required.

5. Compliance and Representations

Service Provider represents and warrants that it will comply with all applicable laws, rules and regulations, including but not limited to payment card industry standards, anti-money laundering requirements, and data protection laws. Service Provider shall maintain and provide upon request evidence of necessary licenses and registrations required to perform the services.

6. Indemnification and Liability

Each party shall indemnify and hold harmless the other party and its officers, directors and affiliates from and against third-party claims arising from the indemnifying party's gross negligence, willful misconduct, breach of law, or material breach of this Agreement. Neither party shall be liable to the other for consequential, special, or punitive damages except for claims arising from willful misconduct or gross negligence.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law rules. The parties agree that venue for any action arising out of this Agreement shall lie in the state or federal courts located in that state.

8. Entire Agreement

This Agreement, together with any attached Schedules or Exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations under this Agreement.
