Business Jack Document

This General Business Agreement ("Agreement") is made effective as of Effective Date: between the parties identified below.

Parties

Recitals

WHEREAS, Party A has expertise in providing business consulting, project execution and related professional services and is willing to perform such services for Party B pursuant to the terms of this Agreement;

WHEREAS, Party B desires to engage Party A to perform the services described in this Agreement and Party A agrees to perform such services in accordance with the terms set forth herein; and

WHEREAS, the parties intend this Agreement to set forth the complete understanding between them with respect to the subject matter herein.

Scope of Work

Party A shall perform the services described below and any related deliverables specified in writing and agreed by the parties. Party A will exercise reasonable skill, care and professionalism customary in the industry when performing the services.

Payment Terms

In consideration for the services rendered by Party A, Party B shall pay fees in accordance with the following terms.

Invoices shall be issued by Party A in accordance with the schedule above and are due and payable within days of invoice receipt.

Late payments shall accrue interest at the lesser of (a) % per month (or pro rata portion) or (b) the maximum rate permitted by applicable law. In addition, Party A may suspend performance for undisputed overdue amounts following ten (10) days' written notice.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days of written notice of breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information only to perform its obligations or exercise its rights under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound to confidentiality obligations at least as protective as those in this Agreement.

Confidentiality obligations survive termination for a period of years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law. Confidential Information does not include information that (i) is or becomes public through no breach by the receiving party; (ii) was rightfully known prior to disclosure; or (iii) is independently developed without use of Confidential Information.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiations between executives. If unresolved within forty-five (45) days, either party may pursue any available remedies in a court of competent jurisdiction in the specified state.

Entire Agreement; Miscellaneous

This Agreement, including any exhibits and attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. No amendment shall be effective unless in writing and signed by duly authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment or agency relationship.

All notices under this Agreement must be in writing and delivered to the addresses set forth below or to such other address as a party may specify in writing in accordance with this section.
