This Business JCL Document (the "Agreement") is entered into as of Effective Date: by and between Party A Name: with principal address , and Party B Name: with principal address .

Recitals

WHEREAS, Party A possesses business processes, project specifications, and technical resources relevant to a joint commercial or operational effort described herein; and

WHEREAS, Party B has complementary capabilities and agrees to perform services, development, or operational execution in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the scope of work, payment, confidentiality, and termination provisions governing the collaboration.

Scope of Work

The parties shall perform the services and deliverables described below. The description is intended to be sufficiently specific to define obligations, milestones, and acceptance criteria.

Payment Terms

Compensation for services and deliverables shall be calculated and paid as follows. All monetary amounts are in United States dollars unless otherwise specified.

If payment is not received within the time specified in the Payment Schedule, the defaulting party shall pay interest on the overdue amount at the rate stated above, compounded monthly, and shall reimburse the non-defaulting party for reasonable collection costs, including attorneys' fees. Acceptance of late payments shall not constitute a waiver of any right to terminate for material breach.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for cause upon material breach by the other party that is not cured within Cure Period: days after written notice; or without cause upon Notice Period: days' prior written notice.

Upon termination, each party shall promptly return or destroy Confidential Information in accordance with the Confidentiality section and the parties shall settle any outstanding payment obligations calculated pro rata to work performed and accepted through the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") whether disclosed orally, visually, or in writing, including but not limited to business plans, technical data, software, trade secrets, customer lists, pricing, and project documentation.

The Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information but no less than a reasonable standard of care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes publicly available through no breach of this Agreement by the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure; (iii) is received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The obligations under this section shall survive termination of this Agreement for a period of Confidentiality Period (years):

Representations; Indemnification

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement and to perform its obligations. Each party shall indemnify, defend, and hold harmless the other party from and against any claims, losses, liabilities, and expenses arising from its breach of this Agreement, negligence, or willful misconduct, subject to applicable law and any limitations of liability agreed in writing.

Notices

All notices under this Agreement must be in writing and delivered to the addresses below (or such other address as a party may designate by notice). Notice shall be deemed given upon receipt when delivered by hand, two business days after deposit with a nationally recognized courier, or three business days after deposit in the U.S. mail, postage prepaid.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation and, if unresolved, through mediation. If mediation fails, either party may pursue remedies in courts of competent jurisdiction in the chosen state.

Entire Agreement; Amendment

This Agreement, together with any exhibits or schedules expressly incorporated, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment or waiver shall be effective unless in a written instrument signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all assets.
