WHEREAS, Employer is engaged in lawful business activities and requires qualified personnel to perform professional services for its operations; and

Scope of Work

Employee shall perform the duties and responsibilities customarily associated with the position defined above and such other duties as reasonably assigned by Employer. Employee's principal duties include:

Payment Terms

Employer shall compensate Employee at a base salary of per annum, subject to applicable withholdings and deductions in accordance with law.

Salary shall be paid on a basis by in accordance with Employer's payroll practices.

Employer will reimburse reasonable pre-approved business expenses incurred in performance of duties upon submission of appropriate documentation within days. Any reimbursement due and unpaid beyond thirty (30) days shall accrue interest at a rate of until paid.

Term and Termination

The employment relationship shall commence on and shall continue until terminated as provided herein. If a fixed-term is desired, the terminal date is ; otherwise the term is at-will subject to this Agreement.

Either party may terminate this Agreement for any reason upon providing written notice of days to the other party. Employer may terminate immediate employment for cause, which includes but is not limited to material breach, willful misconduct, conviction of a felony, or gross negligence.

Confidentiality

Employee acknowledges that during the course of employment Employee will have access to confidential and proprietary information of Employer. Employee shall not disclose, use, publish, or make available any Confidential Information except as required to perform Employee's duties. For purposes of this Agreement, "Confidential Information" includes business plans, financial information, client lists, trade secrets, methodologies, and other non-public technical or business information.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, or longer to the extent necessary to protect trade secrets under applicable law. Employee agrees that monetary damages may be inadequate to remedy a breach and Employer shall be entitled to injunctive relief in addition to any other remedies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement

This Business Job Letter and Employment Agreement, including any written attachments executed by the parties, constitutes the entire agreement between Employer and Employee with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
