Either party may terminate this Proposal for material breach if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that during performance it may receive confidential information of the other party. "Confidential Information" includes nonpublic business information, technical data, trade secrets, and any material marked or reasonably understood to be confidential. Recipient shall (a) use Confidential Information only to perform its obligations under this Proposal, (b) restrict access to those employees or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (c) not disclose Confidential Information to third parties without prior written consent. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor assigns to Client all right, title and interest in and to work product and deliverables created specifically for Client under this Proposal upon Client's payment in full for such deliverables. Contractor retains ownership of its preexisting intellectual property and any general skills, ideas, know-how, techniques and methodologies not constituting Confidential Information. If any third-party materials are included in deliverables, Contractor shall obtain and maintain appropriate licenses for Client's use.

WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNITY

Contractor warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED "AS IS" AND CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS PROPOSAL EXCEED THE AMOUNTS PAID TO CONTRACTOR UNDER THIS PROPOSAL DURING THE SIX (6) MONTH PERIOD PRECEDING THE CLAIM. Each party shall indemnify and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or breach of representations herein.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Proposal, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between Client and Contractor with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Proposal is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Proposal without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets.
