BUSINESS JOINDER AGREEMENT

Recitals

WHEREAS, Original Party entered into a written agreement identified as the Original Agreement dated (the "Original Agreement"); and

WHEREAS, Joining Party desires to join and be bound by the Original Agreement and the obligations and benefits thereunder as of the Effective Date; and

WHEREAS, Original Party consents to the joinder of Joining Party on the terms and conditions set forth in this Business Joinder Agreement (the "Agreement").

Joinder

Joining Party hereby acknowledges receipt of a true and complete copy of the Original Agreement and agrees that, effective as of the Effective Date, Joining Party shall be and is hereby admitted as a party to the Original Agreement and shall assume and perform all obligations and shall be entitled to all rights and benefits of a party to the Original Agreement as if it were an original signatory thereto.

Joining Party represents and warrants that it has the full corporate or organizational power and authority to enter into this Agreement, that execution and delivery of this Agreement has been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

Scope of Work

Payment Terms

As consideration for the joinder and related obligations, the parties agree the Joining Party shall pay Original Party the amount of USD.

Late payments shall incur a late fee of on the overdue balance, plus all costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue in full force and effect until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the intended termination date.

Either party may terminate immediately upon material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach.

Confidentiality

Each party shall maintain in strict confidence all Confidential Information disclosed by the other party. "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement. Confidential Information shall remain confidential for a period of from disclosure, except to the extent a longer period is required by applicable law.

Obligations of confidentiality shall not apply to information which: (a) is or becomes publicly known other than through breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) was known to the receiving party prior to disclosure; or (d) is independently developed.

Representations, Indemnity and Liability

Each party represents that it has the authority to enter into this Agreement. Joining Party agrees to indemnify and hold harmless Original Party from and against any liabilities, losses, costs or damages arising out of Joining Party's breach of the Original Agreement from and after the Effective Date, except to the extent resulting from Original Party's willful misconduct or gross negligence.

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

Notices

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with the Original Agreement, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Neither party may assign this Agreement without the prior written consent of the other, except that Original Party may assign to an affiliate or in connection with a change of control.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving, to the extent possible, the parties' original intent.

Acknowledgement

By signing below, each signatory represents and warrants that they are duly authorized to execute this Agreement on behalf of the party for whom they sign and that their signature binds such party to the terms of this Agreement.
