Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other that is designated confidential or that reasonably should be understood to be confidential. Each Party shall: (a) hold Confidential Information in strict confidence; (b) use it solely for the purposes of the Joint Venture; and (c) not disclose it to third parties except to employees, agents or advisors who have a need to know and are bound to confidentiality. Confidential Information does not include information that is (i) publicly known through no breach by the receiving Party, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of Confidential Information.

Breach of confidentiality shall entitle the disclosing Party to injunctive relief in addition to any other remedies available at law or in equity.

Representations, Warranties and Indemnification

Each Party represents and warrants that it has full corporate or legal power and authority to enter into this Agreement and to perform its obligations. Each Party shall indemnify and hold harmless the other Party from and against any losses, liabilities, claims or expenses arising out of that Party's breach of this Agreement, negligence, willful misconduct or violation of law, except to the extent caused by the indemnified Party's own gross negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes through negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration before a mutually agreed arbitrator in the county of the governing state.
