What a Business JV Letter Is

A Business JV Letter is a concise written notice that two or more parties use to confirm formation, intent, or specific terms of a joint venture relationship. It typically outlines the project scope, contribution of each party, basic profit/loss sharing, initial governance, and a timeline for further documentation. The letter is often used as an interim commercial document before a full Joint Venture Agreement is drafted and may be executed by authorized representatives to express mutual intent and create binding obligations when combined with consideration and signatures.

Why Parties Use a Business JV Letter

A JV letter provides clear, immediate evidence of mutual intent, records essential commercial terms, and narrows negotiation points for a full agreement. It reduces misunderstandings and can establish obligations that guide joint operations while more detailed contracts are prepared.
